or replace the telephone and cable television lines serving such Owner’s Unit <br />exclusively. <br />5.8 Other Easements. Each Condominium is subject to all easements, <br />dedications, and rights-of-way granted or reserved in, on, over, and under the Property <br />as shown on the Map. <br />ARTICLE 6 - THE ASSOCIATION: MEMBERSHIP AND VOTING RIGHTS <br />6.1 Unincorporated Association. The Association shall be an unincorporated <br />Association. The Association shall be charged with the duties and invested with the <br />powers set forth in this Declaration. <br />The specific and primary purpose of this Association is to be a residential <br />condominium management association organized and operated to provide for the <br />management, maintenance and care of the Project. <br />This Association is intended to qualify as a nonprofit homeowners’ association <br />under the applicable provisions of the Internal Revenue Code and of the Revenue and <br />Taxation Code of California. No part of the net earnings of this Association shall inure <br />to the benefit of any Member other than by providing management, maintenance, and <br />care of Project and other than by a rebate of excess Assessments. <br />Notwithstanding any of the above statements of purposes and powers, this <br />Association shall not, except to an insubstantial degree, engage in any activities or <br />exercise any powers that are not in furtherance of the specific purposes of this <br />Association. <br />6.2 Membership. Every person or entity who is a record Owner of a fee or <br />undivided fee interest in a Condominium, pursuant to the terms of this Declaration, shall <br />be a Member of the Association; provided, however, that no Owner shall hold more <br />than one (1) membership even though such Owner owns an interest in more than one <br />(1) Condominium. Membership shall be appurtenant to and may not be separate from <br />the fee ownership of any Condominium. Membership shall be held in accordance with <br />this Declaration. <br />6.3 Transferred Membership. Membership in the Association shall not be <br />transferred, encumbered, pledged, or alienated in any way, except upon the sale or <br />encumbrance of the Condominium to which it is appurtenant, and then only to the <br />purchaser, in the case of a sale, or the holder of a bona fide mortgage or deed of trust, <br />in the case of an encumbrance of such Condominium. Membership shall terminate <br />automatically when the Owner no longer holds any ownership interest in any <br />Condominium.
