fide mortgage or deed of trust does not have membership rights until it obtains title to <br />the Condominium through foreclosure or deed in lieu thereof. Any attempt to make a <br />prohibited transfer is void. No Owner may resign his or her membership. On notice of <br />a transfer, the Association shall record the transfer on its books. <br />6.4 Membership Voting. An Owner shall be entitled to one (1) vote for each <br />Condominium owned. When more than one person holds an undivided fee interest in <br />any Condominium, all such persons shall be entitled to all rights and privileges of <br />membership. The vote of such Condominium shall be exercised as its Owners <br />collectively determine, but in no event shall more than one vote be cast with respect to <br />any Condominium. <br />6.5 Vesting of Voting Rights. Voting rights shall vest at the time Assessments <br />are levied against the Owner’s Condominium. <br />6.6 Voting Procedures. Any Owner may attend meetings of the Association <br />and vote in person or by an agent duly appointed by an instrument in writing signed by <br />the Owner. <br />6.7 Joint Ownership Votes. The vote that is attributed to each Condominium <br />may not be cast on a fractional basis. If the Condominium has more than one Owner <br />and the Owners are unable to agree as to how the vote should be cast, the vote shall <br />be forfeited on the matter in question. If one Owner casts the vote attributed to a <br />Condominium, the vote shall conclusively bind all the Owners of that Condominium. If <br />more than one Owner casts the vote attributed to a Condominium, the votes cast by <br />such Owners shall not be counted and shall be considered void. Under no <br />circumstances shall the Association be responsible to settle voting disputes between <br />joint Owners. <br />6.8 Approvals Required. Except as otherwise provided in the Governing <br />Documents, all decisions and actions requiring the approval of Owners shall be deemed <br />approved if the Owners assent to them by written consent or by written ballot in <br />accordance with the procedures outlined in the Bylaws, or if approved at any duly called <br />meeting at which a quorum is present, either in person or by proxy, by Owners holding <br />a majority of the total voting power of all Owners present, either in person or by proxy. <br />Documents to be executed by the Association shall be signed by the appropriate <br />required percentage of Owners. A “quorum” for purposes of voting at a duly called <br />meeting shall be two thirds (2/3rds) of the total voting power of the Association. <br />ARTICLE 7 - THE ASSOCIATION: POWERS AND DUTIES <br />7.1 Powers of the Association. The Association shall have all the powers <br />granted to a nonprofit mutual benefit corporation, as enumerated in Section 7140 of the <br />Corporations Code, subject only to such limitations on the exercise of its powers as are <br />set forth in this Declaration and the Bylaws. However, the Association, so long as it <br />remains unincorporated, may not adopt or use a corporate seal or issue membership <br />certificates in accordance with Section 7313 of the Corporations Code.
