EMERGENCY MEDICAL SERVICES FIRST RESPONDER ADVANCED LIFE SUPPORT AGREEMENT (7/1/2019) <br />16.14 Waiver <br />No waiver of a breach, failure of any condition, or any right or remedy contained in or <br />granted by the provisions of this Agreement shall be effective unless it is in writing and <br />signed by the party waiving the breach, failure, right or remedy. No waiver of any breach, <br />failure, right or remedy shall be deemed a waiver of any other breach, failure, right or <br />remedy, whether or not similar, nor shall any waiver constitute a continuing waiver unless <br />the writing so specifies. <br />16.15 Assignment Not Allowed <br />City shall not assign this Agreement to a third party without written consent of the County; <br />nor shall City assign any monies due from County under this Agreement to any third party <br />without written consent of the County. <br />16-16 End Term Provisions <br />City agrees to return all County -issued equipment to County in good working order, normal <br />wear and tear excepted, at the termination of this Agreement. <br />16.17 Entire Agreement <br />This Agreement, including all attachments, exhibits, and any other documents specifically <br />incorporated into this Agreement, shall constitute the entire agreement between the parties <br />relating to the subject matter of this Agreement. This Agreement supersedes and merges all <br />previous understandings, and all other agreements, written or oral, between the parties and <br />sets forth the entire understanding of the parties regarding the subject matter thereof. <br />16.18 Headings <br />Headings herein are for convenience of reference only and shall in no way affect the <br />interpretation of the Agreement. <br />16.19 Modification of Agreement <br />This Agreement may be supplemented, amended, or modified only by the mutual agreement <br />of the parties in writing signed by authorized representatives of both parties. When <br />supplementing, amending, or modifying a portion of the Agreement, the entire section <br />containing the proposed changes shall be included in the amendment documentation to <br />show context and for the purpose of clarity. Where there is mutual agreement by City and <br />the EMS Director, the following exhibits may be modified, by a written amendment signed <br />by City and the Director of Health Care Services Agency: <br />EXHIBIT A -DEPICTION AND DEFINITION OF CITY'S PRIMARY SERVICE AREA <br />Page 21 of 24 <br />
