The Facility shall be known by such trade name and/or <br />trademark or logo as may from time to time be determined by Owner. All names, logos, and <br />designs used at the Facility shall be the exclusive property of Owner. However, during the term <br />of this Agreement, Manager shall have a non-exclusive license to use such names, logos, and <br />designs in connection with the operation of the Facility. Manager may identify the Facility as a <br />golf course managed and operated by Manager and may use the name "American Golf <br />Corporation" or the initials "Manager" or the American Golf Corporation logo alone or in <br />conjunction with other words or names or designs owned by Manager or any of its Affiliates. It is <br />recognized that the name "American Golf Corporation" and the initials "Manager," together with <br />any other names, logos, or designs owned by Manager or any of its Affiliates and used in the <br />management and operation of the Facility (including without limitation any such names, logos, <br />or designs used in connection with the restaurant, banquet rooms, and meeting rooms in and <br />about the Facility), together with appurtenant goodwill, are the exclusive property of Manager <br />or its Affiliates (collectively, the "Manager -Owned Names"). Accordingly, Owner agrees that no <br />right or remedy of Owner for any default on the part of Manager under this Agreement shall, nor <br />shall any provision of this Agreement, confer upon Owner or its successors or assigns the right to <br />use Manager - Owned Names in the operation of the Facility or otherwise. In the event of any <br />breach of this covenant by Owner, Manager, in addition to any remedies available to it under this <br />Agreement or at law or in equity, shall have the right to injunctive relief. Anything contained in <br />this Section 11.4 to the contrary notwithstanding, upon the expiration or earlier termination of <br />this Agreement, Owner shall have the right to continue to use any and all items of Operating <br />Inventory then on hand bearing any Manager -Owned Names, but shall not have the right to <br />reorder any such items. In lieu of permitting Owner to continue to use such items of Operating <br />Inventory bearing any Manager -Owned Names, Manager shall have the option to purchase any <br />or all of such items at a price equal to Owner's cost of such items. <br />11.5 Notices. All notices, demands, requests, consents, approvals, replies, and <br />other communications ("Notices") required or permitted by this Agreement shall be in writing <br />and may be delivered by any one of the following methods: (a) by personal delivery; (b) by <br />deposit with the United States Postal Service as certified or registered mail, return receipt <br />requested, postage prepaid to the addresses stated below; or (c) by deposit with an overnight <br />express delivery service. Notice deposited with the United States Postal Service in the manner <br />described above shall be deemed effective three (3) business days after deposit with the Postal <br />Service. Notice by overnight express delivery service shall be deemed effective one (1) business <br />day after deposit with the express delivery service. Notice by personal delivery shall be deemed <br />effective at the time of personal delivery. Notice also may be given by means of electronic <br />facsimile transmission ("Fax") or e-mail; provided, however, that in order for a Fax Notice or e- <br />mail Notice to be deemed effective, the party giving notice by Fax or e-mail shall provide a "hard <br />copy" of the Fax Notice or e-mail Notice thereafter to the other party pursuant to one of the <br />three methods of "hard copy" delivery specified in this Section. <br />Management Agreement Between June 1, 2020 <br />City of San Leandro and American Golf Corporation Page 24 of 28 <br />
