No mortgage shall in any way affect the rights, duties, or <br />obligations of Owner or Manager, respectively, hereunder, and in the event of any conflict <br />between the terms and conditions of this Agreement and the terms and conditions of any <br />mortgage, the terms and conditions of this Agreement shall control. If the Owner records a <br />mortgage and the mortgagee thereof requests that the terms of this Agreement be subordinate <br />to such mortgage, Manager shall execute a subordination agreement substantially in the form <br />requested by such mortgagee, so long as such subordination agreement is reasonable and <br />contains attornment and non -disturbance provisions reasonably acceptable to Manager. No <br />mortgagee shall have any rights against Manager and Manager shall have no obligations to any <br />Mortgagee except as set forth in this Section 11.6. <br />11.7 No Partnership or Joint Venture. Nothing contained in this Agreement shall <br />be construed to be or create a partnership or joint venture between Owner and its successors <br />and assigns, on the one part, and Manager and its successors and assigns, on the other part. <br />Manager shall perform all activities hereunder as an independent contractor, and no employer- <br />employee relationship shall be established by this Agreement or the performance hereof. <br />Management Agreement Between June 1, 2020 <br />City of San Leandro and American Golf Corporation Page 25 of 28 <br />
