<br /> <br /> <br />BASIC LICENSE INFORMATION <br />[To be updated once MLA becomes final] City: City of San Leandro, a California charter city <br />Licensee: Company <br />Term (§ 3.1.1): Ten (10) years, beginning on the Effective <br />Date, with subsequent renewal terms <br />thereafter. <br />Effective Date : The first day of the month after the date the <br />parties have fully executed this Master <br />License. <br />Master License Expiration Date: The day before the 10th anniversary of the <br />Effective Date. <br />Pole License term and effective dates (): For each Pole License, the effective date shall <br />be the first day of the month after the date the <br />parties have fully executed it. <br />Pole License application deadline (§ 3.1.3): Licensee may submit Pole License <br />applications at any time during the Term. <br />License Fee Commencement Date (§ 4.1):;: For each Pole License, the earlier of: (a) the <br />first anniversary of the effective date of the <br />Pole License; and (b) the first day of the <br />month after the date on which Licensee has <br />obtained all Regulatory Approvals. The City <br />will confirm the Commencement Date for each <br />Pole License in the countersigned <br />Acknowledgment Letter. <br />License Fee rate (§ 4.2.1): As of the License Fee Commencement Date, <br />Licensee will be obligated to pay City an <br />annual License Fee at a rate based on the <br />number of City Poles licensed under each <br />Pole License. <br />City will provide the License Fee schedule for <br />each Pole License with the signed <br />Acknowledgment Letter, and the schedule will <br />be deemed to be attached to the Pole License <br />as Exhibit A-3. <br />Integrated Pole License Fee discount (§ <br />4.2.4): 20% discount to the License Fee rate per City <br />Pole upgraded to an Integrated Pole over the <br />remaining term of each applicable Pole <br />License. <br />License Fee Adjustment Dates (§ 4.3): License Fee rates will escalate by three <br />percent (3%) on January 1 of each year of the <br />Term. <br />Master License Application Processing <br />Payments (§ 4.6): $4,000, to be delivered with Licensee’s <br />partially executed counterpart of this Master <br />License.
