<br />Consulting Services Agreement between City of San Leandro and Last revised 8/5/2020 <br />Ethosoft, Inc. for Laboratory Information Management System Exhibit F– Page 9 of 9 <br />26. TITLE <br />Title, ownership rights and intellectual property rights in and to the Software and Documentation shall at all times remain with <br />Ethosoft. All rights not specifically granted by this Agreement, including Federal and international copyrights, are reserved by <br />Ethosoft. <br />27. COPYRIGHT <br />The Software, including its structure, organization, code, user interface and associated Documentation, is a propr ietary product of <br />Ethosoft and is protected by international laws of copyright. The law provides for civil and criminal penalties for anyone in violation <br />of the laws of copyright. <br /> <br />28. OTHER <br /> <br /> 28.1 If any term of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain effective and such <br />term shall be replaced with another term consistent with the purpose and intent of this Agreement. <br /> 28.2 The Client agree to provide Ethosoft with all information, access and full good faith cooperation reasonably necessary to <br />enable Ethosoft to provide the Services and The Client will perform the actions identified in The Client’s order as The Clien t <br />responsibilities. <br /> 28.3 The Client remain solely responsible for The Client regulatory compliance in connection with The Client use of the Services. <br />The Client is responsible for making Ethosoft aware of any technical requirements that result from The Client regulatory obligations <br />prior to entering into an order governed by this Agreement.
