<br /> <br />Consulting Services Agreement between City of San Leandro and Last revised 3/23/21 <br />CivicPlus, LLC for Website Update Project Exhibit B – Page 4 of 10 <br />redesign project, City may begin accumulating eligibility towards a subsequent redesign after another 48 months of <br />continuous service. Redesigns that include additional features not available on the original website may be subject <br />to additional charges. Additional features include, but are not limited to, additional modules and integration of third- <br />party software. Recurring Redesigns are eligible for the website, subsite, and department headers included in this <br />SOW only. Any subsequently purchased website, subsite, and department header shall not be included in a redesign <br />hereunder. <br /> <br />6. City allows Consultant to display a “Government Websites by Consultant” insignia, and web link at the bottom of its <br />web pages. City understands that the pricing and any related discount structure provided under this SOW assumes such <br />perpetual permission. <br /> <br />7. City represents, covenants and warrants that City will use the Civil Space digital engagement toolset (the “Services”) only <br />in compliance with the terms of service published by Civil Space at https://civilspace.io/terms.html, and all applicable laws <br />and regulations. Although Civil Space has no obligation to monitor City’s use of the Services, it may do so and may <br />prohibit any use of the Services it believes may be (or alleged to be) in violation of the foregoing. <br /> <br />8. City understands that the Services are provided under the following privacy policy https://civilspace.io/privacy.html, all <br />data protection shall be in compliance with the statements listed at https://resources.civilspace.io/article/135-data- <br />protection; and the physical security of the Services shall be in compliance with the statements listed at <br />https://resources.civilspace.io/article/141-physical-security-q-a. <br /> <br />9. Unless otherwise stated in this SOW, the Services are provided “as-is” and all other warranties, express or implied, <br />including, but not limited to, implied warranties of merchantability and fitness for a particular purpose are <br />disclaimed. <br /> <br />10. The Services shall be available and performed in a manner consistent with applicable industry standards, including <br />maintaining the Services availability within 99.9% uptime in any given month, excluding outages caused by the failure of <br />a third-party service provider.
