Memorandum of Understanding Page 3 of 5 <br /> <br />9. Spectrum will provide City staff with monthly attendance figures detailing the <br />participation of San Leandro residents. <br /> <br />10. Spectrum will provide a virtual workshop at least once per year on fall <br />prevention. Changes to the method of delivery of workshops will be in <br />accordance with recommendations from State and County health officials <br />with regard to COVID-19. <br /> <br /> <br />B. Acceptance of this MOU by the City will include acknowledgment of the <br />following responsibilities: <br /> <br />1. City will forward to Spectrum any donations made towards the Spectrum Fall <br />Prevention program in a timely manner. <br /> <br />2. City agrees to assist in promotion of all Spectrum Community Services, Inc. <br />organizational programs and offerings. City will assist in promoting Fall <br />Prevention wellness programs, exercise classes, workshop offerings, and <br />special events. Promotional materials for fall prevention can be created by <br />both Spectrum and the City. Any materials created by the City must be <br />approved by Spectrum. <br /> <br />C. The term of this MOU is July 1, 2020 through June 30, 2021. <br />D. The City and Spectrum agree that any amendment to the MOU shall be <br />effectuated by a written document signed by both parties. The document will be <br />attached to the MOU as an addendum. <br />E. If either party wishes to discontinue this partnership, said party will provide <br />sixty (60) days written notice. <br /> <br />F. To the fullest extent permitted by law, Spectrum agrees to hold harmless, <br />indemnify, and defend with counsel reasonably acceptable to the City, the City <br />and its elected and appointed officers, officials, employees, agents, contractors <br />and consultants from and against any and all claims, demands, suits, actions, and <br />liability of any kind, including injuries to persons or damages to property arising <br />out of or connected to Spectrum's responsibilities under this MOU, except to the <br />extent any such claims, loss, liability, damage, judgment, expense, or injuries is <br />caused by the gross negligence or willful misconduct of the City of San Leandro. <br /> <br /> <br /> <br />DocuSign Envelope ID: 615E0859-8FB5-4954-84D0-65026F831CFD
