MERCHANT ACKNOWLEDGES AND AGREES THAT IN NO <br />EVENT SHALL AMERICAN EXPRESS, ITS AFFILIATES, AGENTS, <br />SUCCESSORS, OR ASSIGNS BE LIABLE TO MERCHANT FOR ANY <br />DAMAGES, LOSSES, OR COSTS INCURRED, INCLUDING <br />INCIDENTAL, INDIRECT, SPECULATIVE, CONSEQUENTIAL, <br />SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY KIND <br />(WHETHER BASED ON CONTRACT, TORT, INCLUDING <br />NEGLIGENCE, STRICT LIABILITY, FRAUD, OR OTHERWISE, OR <br />STATUTES, REGULATIONS, OR ANY OTHER THEORY), ARISING <br />OUT OF OR IN CONNECTION WITH THE AGREEMENT. 47. Other Services. In the event Merchant rents or purchases any <br />equipment from Processor in connection with the Services, Merchant <br />agrees to abide by all the terms and conditions of Processor’s standard <br />Addendum B which is incorporated herein. Merchant acknowledges that <br />Processor rounds, assesses, and calculates interchange and other fees <br />and amounts and on return, chargeback and certain other transactions <br />retain such amounts, in accordance with its Service Delivery Process. 48. ACH Services.
