Page 1 of 1 <br />Conversion of Merchant Processing to Worldpay <br />This Signature Page (“Signature Page”) to the Bank Card Merchant Agreement <br />(“Agreement”) is made among WORLDPAY, LLC ("Processor"), Member Bank, and <br /> _______________________ ("Merchant"). Any capitalized terms <br />not otherwise defined herein shall have the meaning ascribed to them in the Agreement. <br />HdL Companies and FIS are excited to announce that the provision of Merchant Processing <br />services to you will be provided by Worldpay, LLC , the global leader of merchant processing <br />services and a recent addition to the FIS family of companies. <br />Historically, card processing services have been provided to you via a third party , Chase Payment <br />Tech, as a function of the FIS service package. Here forward, card processing services will be <br />provided by a fully integrated FIS owned affiliate, Worldpay. <br />The card networks (including Visa, Mastercard, Amex, Discover) require that we, as sponsors to <br />the networks, contract directly with each merchant receiving card processing services. Therefore, <br />Worldpay, LLC presents this agreement to you for review and signature. For avoidance of doubt, <br />this Agreement will not revise or amend any other agreements that you may have in place with <br />FIS or HdL Companies, and is intended to be specific only to card acquiring and processing <br />services provided by Worldpay, LLC. <br />Merchant acknowledges receipt of the Bank Card Merchant Agreement inclusive of amendments, <br />schedules, exhibits, and attachments, including the documents listed below. The parties <br />acknowledge and agree that execution of this Signature Page by Merchant shall be deemed <br />execution of the following documents: <br />Bank Card Merchant Agreement <br />Check Commerce ACH Exhibit <br />This Agreement governs the acquiring and processing of credit/debit cards . You represent that <br />you have read the Agreement, including the portions contained on our agreement website <br />(http://info.worldpay.com/multipay), and you understand its terms and agree to be bound by them . <br />You can request a copy of the Agreement at any time by contacting a Client Support <br />Representative at Support@HdLCompanies.com. <br />This Signature Page may be executed and delivered by electronic means.
