<br />Consulting Services Agreement between August 1, 2020 <br />City of San Leandro and Local Artists Berkeley — Exhibit A Page 2 of 3 <br />Services August/September 2020: Vendor will <br />undertake the following Deliverables to City: <br /> <br /> <br />Vendor shall provide the following in August or <br />September of 2020: a) Publish the “Call for Art”, <br />seeking submissions of out-of-doors artwork for the <br />Hesperian Triangle at East 14th Street & 150th <br />Avenue, San Leandro, CA; b) Extensive outreach for <br />the “Call for Art” will be performed via social media, <br />direct email, government and private websites, and <br />word of mouth. <br />Services September/October 2020: Vendor will <br />undertake the following Deliverables to City: <br /> <br />Vendor shall provide the following in September and <br />October 2020: a) Compiled list of all applicants of “Call <br />for Art” with an image list of artwork that details <br />artwork of title, medium, dimensions, and value; c) <br />Present findings to City Manager’s Office, the City of <br />San Leandro Arts Commission, and/or City Council; d) <br />Finalize artwork to be installed; e) Final inspection <br />surveying selected artwork with engineers approval; f) <br />Fabricate mounting structure if required of artwork; g) <br />Insure artwork under Vendors insurance coverage. <br />Services October 2020: Vendor will undertake the <br />following Deliverables to City: <br /> <br />Vendor shall provide the following in October 2020: a) <br />Transport selected artwork to San Leandro Hesperian <br />Triangle location; b) Install artwork on site in selected <br />area; c) Coordinate with City for artwork unveiling. <br />Services October 2021: Vendor will undertake the <br />following Deliverables to City: <br /> <br />Vendor shall provide the following in May 2021: a) <br />Coordinate with artist and company the deaccession <br />of artwork from the Hesperian Triangle, unless the <br />City, Vendor and artist mutually agree to extend the <br />term of the art installation. <br />Services October 2021: Vendor will undertake the <br />following Deliverables to City: <br /> <br />Vendor shall provide the following in June 2021 <br />(unless extended by mutual consent of parties <br />involved): a) Remove artwork and transport it to the <br />care of artist(s) or owner; b) terminate this SOW at <br />time of completion of this Deliverable. <br />IV. Intellectual Property Rights <br /> <br />Vendor agrees to license to City solely for the duration <br />of this SOW a worldwide, royalty-free, nonexclusive, <br />non-transferable license (i.e., Vendor retains <br />ownership) and privilege to use (including the right to <br />grant multiple level sublicenses), record, modify, <br />transmit, distribute, market, advertise, reproduce, <br />publicly display, publicly perform and otherwise exploit <br />the intellectual property of vendor including but not <br />limited to artistry and programming (“Vendor’s <br />Programming”) in whole or in part, throughout the <br />DocuSign Envelope ID: 46F09088-E5FE-4708-B0AF-F6D3FD9BAA2FDocuSign Envelope ID: FAB9A06B-1D2A-4FEB-8806-68F6F2273B2F
