Grant Monitor: The Grant Monitor may monitor Subrecipient performance to <br />ensure Subrecipient expends grant funds appropriately and in a manner <br />consistent with the terms and conditions contained herein. The Grant Monitor <br />does not have the authority to approve any deviation from or revision to the <br />Terms and Conditions (Exhibit A) or the Procedures and Requirements, unless <br />such authority is expressly stated in the Procedures and Requirements. <br /> <br />27. Independent Action: Subrecipient reserves the right to fulfill its obligations under <br />this Agreement in an independent manner, at any location and at any time <br />within the agreed-upon timeline. Subrecipient’s employees or contract personnel <br />shall perform all services required by this Agreement, but their time need not be <br />devoted solely to fulfilling obligations under this Agreement. Subrecipient shall <br />furnish all equipment and materials used to meet its obligations, and complete <br />the Project. The State Library shall not provide any personnel or other resources <br />beyond the grant award, and is not required to provide training in connection <br />with this Agreement. <br /> <br />28. Indemnification: Subrecipient agrees to indemnify, defend and save harmless <br />the State of California, the California State Library and its officers, employees, <br />and agents, from any and all claims, losses, and liabilities accruing or resulting to <br />any and all contractors, subcontractors, suppliers, laborers and any other person, <br />firm or corporation furnishing or supplying work services, materials, or supplies in <br />connection with the performance of this Agreement, and from any and all <br />claims and losses accruing or resulting to any person, firm or corporation who <br />may be injured or damaged by Subrecipient in the performance of this <br />Agreement. <br /> <br />29. License to Use: The California State Library and the Institute of Museum and <br />Library Services reserve a fully paid-up, royalty-free, nonexclusive, sub-licensable <br />and irrevocable license to reproduce, publish, prepare derivative works, <br />distribute or otherwise use, and to authorize third parties to use, any material <br />received or maintained by Subrecipient in connection with this Agreement. This <br />includes intellectual property, with or without third-party rights. All such usages <br />will be for public library and State governmental purposes: <br /> <br />a. The copyright in any work developed under this grant or contract under <br />this award; and <br />b.
