EXHIBIT D <br />SCOPE OF DEVELOPMENT <br />I. SUMMARY <br />This document presents general requirements for the development of all improvements to be <br />undertaken by the Developer under this Agreement. Development shall be consistent with and shall <br />faithfully implement the Development Concept Plan and the Final Development Plan. <br />The development to be undertaken by the Developer consists of the following components, as <br />more particularly described below: (a) the Minimum Office Improvements, (b) the Adjacent City <br />Property Improvements, (c) the Condominium Benefiting Improvements, and, if undertaken by the <br />Developer, (d) the Phase 2 Improvements. The identification and description of each of these <br />components shall be deemed to include: (i) the Development Concept Plan and each successively <br />more detailed set of plans and drawings, (ii) the Specifications (attached as Attachment No. 1 hereto <br />and incorporated herein by reference), and (iii) the payment of all fees and compliance with all <br />conditions of approval (including without limitation mitigation measures imposed in connection with <br />the environmental review process for this Agreement and the undertakings of Developer hereunder). <br />H. DESCRIPTION OF DEVELOPMENT <br />A. The Phase 1 Improvements <br />1. Minimum Office Improvements. <br />The Minimum Office Improvements consist of: (i) all grubbing, clearing, site <br />preparation, grading and compaction required for the development of the Developer Improvements; <br />(ii) two multi -story office buildings consisting of not less than one hundred thirty thousand (130,000) <br />square feet gross building area; (iii) a plaza area including a fountain, (iv) surface parking for not less <br />than four hundred thirty four (434) cars; and (v) installation and undergrounding of utilities and <br />connection to existing facilities. <br />2. Adjacent City Property Improvements. <br />The Adjacent City Property Improvements consist of: a paved meandering pedestrian <br />pathway five (5) feet in width, thinning of existing trees and planting of at least thirty (30) 24-inch <br />box trees and groundcover and other planting materials, and the purchase and installation of outdoor <br />furniture on the Adjacent City Property. <br />Agreement. <br />3. The Condominium Benefiting Improvements <br />The Condominium Benefiting Improvements are described in Section 4.03 of the <br />4. Development Costs; Offsite and Conditions of Project Approval. <br />The Developer shall be responsible for all costs of development of the Property and <br />the Adjacent City Property, including without limitation the payment of all fees and compliance with <br />all conditions of approval (including without limitation mitigation measures imposed in connection <br />D-1 <br />DOCSOC\7017000\24258.0001 r <br />
