2. In conducting the audit, Consultant shall perform tests of the accounting records and <br />such other procedures as they consider necessary in the circumstances to form an <br />opinion about whether the financial statements are free of material misstatement and <br />to report on whether management has complied with laws and regulations and has <br />established and maintained an internal control structure. <br />;. The City shall receive all final opinions and reports for the City of San Leandro <br />financial statements by November 15 of each year barring any unforeseen City delays. <br />Such final reports if delayed by the Consultant will result in a 1% reduction in fees <br />for every day beyond the November 15 deadline. Final reports for grant programs <br />shall be completed in time to meet required submission dates. <br />4.
