In the event that City audits any statement given to it by Lessee for any period, and <br />the Lessee's statement for the period audited is found to have understated gross sales <br />by more than two percent (2%) [and City is entitled to any percentage rental as a <br />result of the understatement], then Lessee shall pay all of City's reasonable expenses <br />and costs connected with the audit. Lessee shall cooperate fully with City when City <br />makes an inspection of Lessee's books. <br />The Lessee must submit to City for the City's approval sample forms which illustrate <br />vending expense and control, as well as an explanation of vending control methods. If <br />the Lessee expects to subcontract an vending concessions, the Lessee must supply to <br />the City the following information in writing: <br />1. The name and address of the subcontractor. <br />2. The subcontractor's reputation and industry experience. <br />in the event that vending is subcontracted, the City will <br />consider the prime contractor to be the sole contact and responsible for the <br />services it or its agents provide. <br />F. Reimbursement of Security Instrument <br />Lessee shall reimburse Lessor for the cost of the security instrument(s), which shall <br />guarantee completion of the improvements, paid for by the City in the manner set <br />forth in Section 15 herein. The method of reimbursement shall be annual payments <br />for the term of the Lease commencing on April 1, 1998. <br />6. STANDARD OF SERVICE <br />Lessee shall furnish, maintain and operate said business in a first-class manner and <br />shall furnish and maintain a standard of service at least equal to that of the better <br />class hotels, motels and similar businesses providing similar services and facilities in <br />the San Francisco Bay Area during the entire term of this lease and without <br />discrimination. <br />Lessee shall at all times during normal business hours retain upon the demised <br />premises a qualified and competent person or persons to act as manager or managers <br />of the activities conducted by Lessee thereon. Lessee shall designate an individual <br />who shall, in the absence of Lessee, be authorized to represent and act for Lessee in <br />all matters pertaining to this lease and Lessee's operations hereunder. <br />7. IMPROVEMENTS AND MAINTENANCE BY CITY <br />City shall diligently pursue the development of the Marina in accordance with <br />rev. 3-12-96 (SRM) <br />rev. 6-5-96 (SRM) 7 <br />
