19. ADVERTISING AND PROMOTION <br />Lessee shall spend not less than one (1) percent of its gross receipts annually for <br />advertising its business on the leased premises. Within 30 days after each calendar <br />year, Lessee shall furnish City with a report of such expenditures. Lessee agrees to <br />join and maintain membership in the San Leandro Shoreline Business Association <br />and other associations which may be formed for promotion of the marina area. <br />Lessee agrees to specifically promote the San Leandro Marina in all of its <br />advertisements by specifically referencing the San Leandro Marina. Lessee's on -site <br />manager shall undertake an active sales promotion program. <br />20. LESSEES' ASSOCIATION <br />Lessee agrees to join and maintain membership in any organization that has been or <br />may be organized, formed or sponsored by City for substantially all business in the <br />Marina and to pay to such organization as membership fees therein such reasonable <br />annual dues, if any, as may be established for the period in question by the <br />membership, to be used (except for reasonable administrative expenses) at the <br />direction of the officers thereof for the promotion of the harbor. <br />21. SIGNS <br />No signs or placards of an advertising or promotional nature shall be painted, <br />inscribed or placed in or on the demised premises of any building or structure located <br />thereon without the prior written consent of City. Lessee shall remove promptly and <br />to the satisfaction of City, at the cost and expense of Lessee, upon the expiration of <br />the term or the earlier termination of this lease, any and all signs and placards placed <br />by it upon the demised premises. <br />22. RIGHTS NONEXCLUSIVE <br />It is understood and agreed that the right of Lessee hereunder are nonexclusive with <br />respect to hotels, coffee shops and meeting rooms, and that the City retains the right <br />to lease or license other such facilities or operations within the Marina. <br />23. UTILITY CHARGES <br />Lessee shall pay for all light, heat, water, gas or other utility services required by it in <br />connection with its use of the demised premises. <br />24. TAXES <br />Lessee shall pay all lawful taxes, assessments or charges which at any time may be <br />levied by any federal, state, county, city or any tax or assessment levying agency upon <br />any interest in this lease or any possessory right which Lessee may have in or to the <br />
