premises covered hereby or the improvements thereon by reason of its use of <br />occupancy thereof or otherwise, as well as all taxes, assessments and charges on goods, <br />merchandise, fixtures, appliances, equipment and property owned by it in or about <br />said premises. Lessee shall pay before delinquency, all taxes, assessments, license fees <br />and public charges levied, assessed or imposed upon its business operation, as well as <br />upon its trade fixtures, equipment, merchandise and other personal property in, on or <br />about the premises. <br />25. NO LIENS <br />Lessee shall pay for all labor done or materials furnished in the repair, replacement, <br />development or improvement of the demised premises by Lessee and shall keep said <br />premises and Lessee's possessory interest therein free and clear of any lien or <br />encumbrance of any kind whatsoever created by Lessee's act or omission except as <br />herein expressly permitted. <br />26. PROFESSIONAL MANAGEMENT <br />Lessee shall direct and supervise the operation and management of the hotel and <br />shall, at all times during the term of this lease, maintain a professionally trained <br />on -site staff including experienced general managers. The general manager shall <br />initiate and maintain an ongoing sales program, including active participation in <br />convention and visitor bureaus, San Leandro Chamber of Commerce, San Leandro <br />Shoreline Business Association, and other civic and service organizations as may be <br />appropriate, personal sales calls on business and civic groups and a direct mail <br />promotional campaign. Lessee shall make readily available to all guests comment <br />cards on which guests may note comments and suggestions regarding the hotel <br />operation, which comment cards shall be promptly reviewed by management with a <br />view to correcting any operating deficiencies and initiating continuing improved <br />service. The resident manager and hotel staff shall utilize current proven equipment <br />and procedures during the term of this lease and shall take all steps necessary to <br />prevent physical or functional obsolescence from preventing optimum use and <br />activity on the leased premises. <br />27. INDEMNITY AND EXCULPATION; INSURANCE <br />A. Hold Harmless Agreement <br />Lessee hereby agrees to, and shall, hold City, its elective and appointive boards, <br />commissions, officers, agents and employees, and the State of California <br />harmless from any and all liabilities and claims for damages for bodily and <br />personal injury, including death, as well as from claims for property damage <br />which may arise from Lessee's or Lessee's contractors', subcontractors', agents' <br />or employees' operations or services rendered whether such operations or <br />services be by Lessee or by any of Lessee's contractors, subcontractors, or by <br />any one or more persons directly or indirectly employed by, or acting as agent <br />21 <br />
