5. Amendments or Modifications: This SA shall only be amended or modified by mutual written <br />agreement between the DA and the City, subject to the terms, conditions and limitations of this SA and <br />the MOA. <br />6 Work Order: The task of work described under this SA, taken together with the terms and <br />conditions of this SA, shall constitute a WO in accordance with the MOA. No subsequent WO is <br />required to be prepared for the provisions of these goods and services. <br />7. Intergovernmental Cooperation Act. The City hereby certifies that, consistent with the <br />Intergovernmental Cooperation Act, the services hereby requested of the DA cannot be procured <br />reasonably and expeditiously by the City through ordinary business channels. <br />GENERAL PROVISIONS: Neither the City nor the DA shall assign, sublet or transfer their interest <br />in this Agreement, of moneys due them under this Agreement, without the prior written consent of the <br />other. To provide for consistent and effective communication, the DA and the City have appointed the <br />Project Managers identified below. The Project Managers shall generally oversee all facets of the work <br />to be performed pursuant to this agreement, and shall be the primary point of contact between the DA <br />and the City. <br />♦ DA's Project Manager - Larry Graham ...
