GENERAL FEDERAL/STATE CONDITIONS <br />COMMUNITY DEVELOPMENT BLOCK GRANT <br />1. GOVERNMENTAL REGULATIONS. To the extent that this Agreement may be funded by fiscal <br />assistance from another governmental entity, Subgrantee shall comply with all applicable rules and regulations to <br />which City is bound by the terms of such fiscal assistance program. In particular, Subgrantee agrees to comply <br />with all applicable provisions of the Housing and Community Development Act of 1974 (Public Law 93-383) and <br />regulations promulgated pursuant thereto. <br />2. RECORDS. Records must be kept accurate and up-to-date. Subgrantee's records shall be made <br />available for review by the City, HUD or the designee. Subgrantee shall be responsible to maintain, for not less <br />than three (3) years after completion of this Agreement, all records pertaining to this Agreement, including <br />subcontracts and expenditures, and all other financial and property records. <br />AUDITS AND INSPECTIONS. <br />A. Subgrantee shall at any time during normal business hours and as often as the City, HUD and the <br />Comptroller General of the United States may deem necessary, make available to their representatives for <br />examination all of Subgrantee's records with respect to all matters covered by this Agreement and shall permit <br />these representatives to audit, examine and make excerpts or transcripts from such records, and to make audits of <br />all documents and conditions relating to this Agreement. All costs are subject to the eligibility requirements of <br />HUD. <br />B. Subgrantee shall permit and facilitate observation and inspection of the work and records at <br />Subgrantee's principal office and job site by City, its employees and public authorities during reasonable business <br />hours. <br />4. CONFLICT OF INTEREST <br />A. Subgrantee certifies that no member of, or delegate to the Congress of the United States shall be <br />permitted to share, or take part in this Agreement or in any benefit arising therefrom. <br />B. Subgrantee certifies that no member, officer, or employee of the City of San Leandro, or its <br />designees or agents, no member of the San Leandro City Council, and no other public official of the City of San <br />Leandro who exercises any functions or responsibilities with respect to the CDBG program during its tenure or for <br />one year thereafter, shall have any interest, direct or indirect, in any contract or subcontract, or the proceeds <br />thereof, for work to be performed in connection with this Agreement. <br />C. Subgrantee hereby certifies that no one who has any financial interest in or receives <br />compensation for services by Subgrantee's corporation or agency is related by blood or marriage within the third <br />degree to the Mayor or any one or more of the members of the City Council, City Manager, or the department head <br />to which these services are to be provided. <br />D. Subgrantee shall incorporate, or cause to be incorporated, in all subcontracts for work to be <br />performed under this Agreement a provision prohibiting such interest pursuant to the purposes of this section. <br />Exhibit E <br />Page 1 of <br />
