ARTICLE VII REPAIR AND MAINTENANCE Section 7.1 Repairs and Maintenance Tenant covenants and agrees, throughout the Term, without cost to Landlord, to maintain and repair (and to replace, as necessary) the Premises and the Improvements, and every part thereof (whether located within or outside of the Premises), and to keep the same in good order, condition and repair consistent with the Standard of Operation ("Standard of Maintenance"). Tenant, at its own cost and expense, shall promptly make all necessary repairs to keep the Premises and the Improvements in safe, clean, and sanitary condition, provided however, that Tenant shall not be required to remove or otherwise remedy, in accordance with Applicable Law, any Hazardous Materials existing on the Premises as of the date of delivery of possession to Tenant. Tenant shall keep and maintain all portions of the Premises and the Improvements in a clean and orderly condition, free of accumulation of dirt, rubbish, graffiti, weeds or other unsightly conditions. It is the intention and agreement of the parties that, except as expressly provided elsewhere in this Lease, Landlord will have no obligation or liability of any kind relating to, or in connection with, the Premises or the Improvements or the maintenance and repair thereof, all such obligations being the responsibility of Tenant. Tenant's maintenance and repair obligations shall include and extend to each and every part of the Premises and the Improvements, including, without limitation, structural and nonstructural portions, interior and exterior portions, entrances, doors, windows, heating, ventilating and air conditioning systems, plumbing, electrical, LEASE BETWEEN CITY OF SAN LEANDRO AND SAN FRANCISCO BAY CONFERENCE RESORT PAGE 34 2574001\313983.8
