electronic, telecommunications, computer and other systems and equipment, grounds, <br />landscaping, paving and hardscape surfaces, all equipment, fixtures and appurtenances related <br />thereto, and the entire pilings and structural system supporting that portion of the Premises <br />and Improvements extending over the water. The foregoing to the contrary notwithstanding, <br />Tenant's obligation with regard to those portions of the Improvements located outside of the <br />area of the Premises and consisting of the public access walkways as identified on Exhibit A <br />shall be limited to maintaining such walkways in a clean and orderly condition. Landlord <br />shall be responsible for any repairs or replacements to such areas unless necessitated by the <br />acts or omissions of Tenant or its employees, contractors, representatives or invitees, in <br />which event Tenant shall be responsible therefor. With regard to those Improvements <br />located outside of the area of the Premises, Tenant shall have a right of access to and upon <br />the areas on which such Improvements are located as reasonably required for purposes of the <br />construction, maintenance and repair of such Improvements. <br />Section 7.2 Furnishings Reserve Account <br />Tenant shall at all times during the Term maintain a segregated reserve account in a <br />sinking fund with a banking institution acceptable to Landlord (the "Furnishings Reserve <br />Account"). Within sixty (60) days after the end of each calendar year in which the Facility <br />is open for business, Tenant shall deposit into the Furnishings Reserve Account an amount <br />equal to one percent (1 %) of the Gross Revenues for the immediately preceding calendar <br />year; provided that at no time shall Tenant be obligated to maintain more than Five Hundred <br />Thousand Dollars ($500,000) (including accrued interest) in the Furnishings Reserve <br />LEASE BETWEEN CITY OF SAN LEANDRO <br />AND SAN FRANCISCO BAY CONFERENCE RESORT PAGE 35 <br />2574001\313983.8 <br />
