3. PROJECT ADMINISTRATION. The Parties agree that San Leandro shall administer <br />contracts required to carry out the Project. San Leandro shall enter into contracts with the <br />selected design team and for all other professional services required to carry out the Project. San <br />Leandro agrees that it will not approve modify, or terminate any contracts entered into pursuant <br />to this Agreement without first giving all of the Parties five (5) working days notice and an <br />opportunity to comment on and approve or disapprove the proposed action. <br />4. ORGANIZATIONAL FRAMEWORK. Each Party shall act as joint lead agency for the <br />Project. The Parties shall be assisted by a Technical Advisory Committee and a Design Team <br />described below. <br />5. TECHNICAL ADVISORY COMMITTEE. The Technical Advisory Committee ("TAC") <br />shall consist of staff members from each Party. Members of the TAC shall review and advise the <br />Design Team and make recommendations to the City Councils of the Cities, the Board of Port <br />Commissioners, and the ACTA Board regarding the Design Team's findings. The TAC will <br />bring the design document report including the design theme and specific design elements to <br />each governing body for review. The TAC shall select the Design Team which shall be selected <br />as provided in this Agreement. <br />6. DESIGN PROCESS. The TAC shall invite three to five professional design firms to <br />participate in interviews with the TAC. The Design Team shall be selected by the TAC. The <br />Design Team shall meet with the staff of each Party and BART staff and review all relevant <br />planned projects and planning documents. These include but are not limited to the follow <br />projects: 1) Airport Roadway Project, 2) Hegenberger Gateway Development Plan, 3) Doolittle <br />Drive Gateway Project, 4) BART/Oakland International Airport Connector, 5) Airport <br />Development Program, and 6) Galbraith Golf Course Redevelopment. The Design Team will <br />prepare several design themes for consideration by the TAC. Upon selection of a design theme <br />by the TAC, the Design Team will carry out the theme through recommendations on at least the <br />six design elements described in Section 1 of this Agreement. Upon selection of the design <br />elements by the TAC, the Design Team shall prepare a design document detailing the selected <br />theme and elements. The design document will specify, in detail, how the design theme and <br />elements should be incorporated into each Parry's projects. It will also provide unit costs for each <br />of the design elements. The Design Team will also assist the Parties in carrying out a design <br />competition for a particular feature of the Gateway Area to be selected by the Parties. <br />7. ADDITIONAL CONSULTANTS. The Parties, with the advice of the TAC, may retain the <br />services of additional consultants, on an as needed basis in furtherance of the goals of this <br />Agreement, provided that the total Design Team fee shall not exceed $60,000 without the prior <br />written approval of the Parties. <br />8. APPLICATIONS FOR FUNDING. The Parties agree to jointly seek outside funding, such as <br />grants. Any funds obtained in such a manner would be allocated through a separate agreement <br />taking into account any constraints of such grant funds. <br />9. TERM. The term of this Agreement shall be 12 months from the date of this Agreement, <br />unless extended by the written consent of all Parties. <br />10. JURISDICTIONAL SOVEREIGNTY. Each Party shall have the final authority for <br />determining which design elements, if any, should be incorporated within the respective Parry's <br />projects. Additionally, each Party shall have exclusive authority for determining the timing and <br />implementation, if any, of the design elements within that Party's jurisdiction. <br />
