entitlement conditions and an Event of Default exists with respect to such failure, Tenant shall <br />have the right to do so and to offset the amount spent against Rent. <br />Section 6.4 Fair Wages and Benefits <br />Tenant, at all times during the Term, will pay wages, and provide other benefits, to <br />employees of the Facility which are fair and competitive with those being provided to other <br />employees doing similar work in comparable conference centers and hotels in the San Francisco <br />Bay Area. In establishing the level of wages and benefits ("Compensation"), Tenant will adopt, <br />as a minimum, the scale of Compensation paid by Tenant, or any Affiliate of Tenant, to <br />employees of other conference and hotel properties operated by Tenant (or its Affiliate) in the <br />San Francisco Bay Area, increased appropriately for actual higher cost of living factors, if any, in <br />the City of San Leandro and/or Alameda County. <br />In addition to wage compensation, and subject to Tenant's right to establish and/or <br />modify reasonable practices, terms and restrictions from time to time, Tenant will make available <br />the following benefits to qualified employees of the Facility: <br />(1) Health insurance for all insurable employees, their dependents and <br />domestic partners, subject to reasonable co -pay requirements and minimum employment service <br />thresholds; <br />(2) Dental insurance for all employees and dependents, subject to reasonable <br />co -pay requirements and deductible limits; <br />(3) Life insurance coverage; <br />(4) Long term disability insurance coverage; <br />LEASE BETWEEN CITY OF SAN LEANDRO <br />AND SAN FRANCISCO BAY CONFERENCE RESORT <br />002574.0001\409817.4 <br />PAGE 35 <br />
