Leased Premises and that the Leased Premises has not been assigned an identification <br />number nor is the Leased Premises subject of an environmental report by the State of <br />California or any of its subdivisions. Lessor represents and warrants that no asbestos - <br />containing materials or polychlorinated byphenyls (i.e., PCBs) are contained in or <br />stored on the Leased Premises. Lessor further represents and warrants that there are <br />no underground or above -ground storage tanks located on the Leased Premises. As <br />used herein, the terms "toxic" or "hazardous" wastes, substances or materials shall <br />include, without limitation, all those so designated and all those in any way regulated <br />by any of the above -cited laws or regulations, or any other present or future <br />environmental or other similar laws or regulations. <br />20.9 Labor Matters. Lessor represents and warrants that Lessor has no <br />collective bargaining agreement which prevents execution of and performance under <br />this Lease. Lessor further represents and warrants that there have been no demands <br />for collective bargaining by any union or labor organization or other organization of <br />Lessor's employees and no arbitration proceedings are pending or to Lessor's <br />knowledge threatened against or affecting Lessor. <br />20.10 Termination of Contracts. Lessor has terminated, effective prior to the <br />Commencement Date, all contracts and agreements relating to the Leased Premises, <br />other than the Third Party Leases, which contracts shall continue in effect with <br />Lessee performing the obligations thereunder relating to the period, and first arising, <br />after the Commencement Date. <br />20.11 Termination of Employees. Obligation of Benefits. Lessor has, effective <br />as of the Commencement Date, terminated the employment of or reassigned all of its <br />employees at the Leased Premises, and shall assume full responsibility for all <br />employee salaries, vested and non -vested benefits, vacation pay, and seniority rights <br />due and owing as of the Commencement Date. Lessee may re -hire such terminated <br />employees as Lessee, in its sole discretion, desires subject to such policies, salaries and <br />benefits as Lessee may establish. <br />20.12 Condition of Leased Premises. Lessor represents and warrants that <br />there are no structural defects in the buildings, fixtures or other improvements <br />constituting any part of the Leased Premises. All such improvements were designed <br />and constructed in a manner compatible with the soil condition of the Leased <br />Premises.
