021787.0013\6471389.4 1 <br />FIRST AMENDMENT TO REAL PROPERTY LEASE <br />THIS FIRST AMENDMENT TO REAL PROPERTY LEASE (the “Amendment”) is entered <br />into as of April 26, 2022 (“Effective Date”) , by and between MBCH PROPERTIES, LLC, a California <br />limited liability company (“Landlord”) and TAMISHA S. GARNER, an individual, dba Miranda Nicole <br />Salon and Spa (“Tenant”), who agree as follows. <br />1.Recitals. This Amendment is made with reference to the following facts and objectives: <br />1.1 Landlord as landlord and Tenant as tenant entered into a Real Property Lease (the <br />“Lease”) with an Effective Date of April 13, 2018, for premises (the “Premises”) commonly known as <br />699 E. 14th Street, San Leandro, California. <br />1.2 Tenant has failed to pay certain rental obligations required by the Lease, has <br />applied for a Commercial Rent Relief Grant through the City of San Leandro and Tenant now desires to <br />repay the unpaid amounts over the remaining term of the Lease. In light of the novel coronavirus <br />(COVID-19) pandemic (the “Pandemic”), Landlord is willing to grant Tenant the agreed upon repayment <br />plan on the terms and conditions set forth in this Amendment. <br />1.3 Unless otherwise defined herein, capitalized terms as used herein shall have the <br />same meanings as given thereto in the Lease. <br />2.Repayment of Past Due Base Rent. As of the Effective Date, Tenant owes $30,681.53 <br />in unpaid past due rent ("Past Due Rent"), not including late fees or interest. Landlord and Tenant have <br />or will submit an application for a Commercial Rent Relief Grant from the City of San Leandro. <br />Landlord and Tenant agree that in order to pay the Past Due Rent, commencing on June 1, 2022, Tenant <br />shall pay, in addition to monthly Base Rent due under the Lease, the amount of Past Due Rent minus any <br />amount received by Landlord on behalf of Tenant pursuant to the Commercial Rent Relief Grant in eleven <br />(11)equal monthly payments paid on or before the first of each month with Tenant's payment of Base <br />Rent. For example, if Landlord receives $15,000 from the City of San Leandro as a Commercial Rent <br />Relief Grant on Tenant's behalf, then the remaining $15,681.53 in Past Due Rent shall be paid by Tenant <br />in eleven (11) equal monthly payments of $1,425.60 per month. If Landlord has not received any funds <br />from the Commercial Rent Relief Grant by June 1, 2022, Tenant shall pay an additional $2,789.23 per <br />month and, if grant funds are received thereafter, Landlord shall recalculate Tenant's monthly payment of <br />Past Due Rent accordingly, giving Tenant full credit for the amount received from the grant program. <br />3.Representation. Tenant represents and warrants to Landlord that, as of the Effective <br />Date of this Amendment first set forth above, there are no breaches or defaults under the Lease by <br />Landlord, and Tenant knows of no events or circumstances which, given the passage of time or the giving <br />of notice, would constitute a default or breach under the Lease by Landlord or a claim, defense or offset <br />right by Tenant against Landlord. <br />4.Confidentiality. As material consideration for Landlord's agreement to enter into this <br />Amendment, Tenant agrees that it will keep the terms of this Amendment confidential and will not <br />disclose the existence or terms of this Amendment to any third party at any time. If Tenant breaches the <br />confidentiality and non-disclosure requirements of this Section 4, such breach will constitute a material <br />default and breach under the Lease and in addition to all of Landlord's rights and remedies allowed under <br />the Lease or at law or equity, Landlord will be entitled to immediately recover from Tenant all unpaid <br />Past Due Rent. <br />DocuSign Envelope ID: EABCADC6-79FF-4852-A531-DC8E5FFC6387
