If Landlord's performance of any portion of the Lease is <br />affected, prevented, delayed or stopped due to the Pandemic, by law or by other causes beyond the <br />reasonable control of Landlord, then the time for such performance by Landlord shall be extended by the <br />period of time that Landlord's performance is affected, prevented, delayed or stopped. <br />6.Landlord's Remedies. Nothing in this Amendment is intended as a waiver of any of <br />Landlord's rights under the Lease. Landlord reserves all rights and remedies afforded to Landlord under <br />the Lease or at law or equity. <br />7.Limits on Repayment of Rent. The parties agreement to Tenant's repayment of Past <br />Due Rent under this Amendment is intended to be in lieu of, and shall in no event be added to or operate <br />to extend, any other rent deferral, abatement, moratorium, or other relief that may at any time be <br />mandated or adopted by any governmental authority or agency. <br />8.Default by Tenant. If Tenant fails to make timely payment of any portion of Tenant's <br />Base Rent or Past Due Rent as required in Section 2 above, or Tenant is otherwise in default at any time <br />under the terms of the Lease or this Amendment, in addition to all of Landlord's rights and remedies <br />allowed under the Lease or at law or equity, the full unpaid portion of all Past Due Rent, plus late fees and <br />interest shall be due and payable within five (5) business days after Landlord's demand. <br />9.Authority. Each signatory of this Amendment hereby represents that he or she has the <br />authority to execute and deliver the same on behalf of the party for which such signatory is acting. <br />Tenant represents that it has not made any assignment, sublease, transfer, conveyance of the Lease or any <br />interest therein or in the Premises. <br />10.Recitals. The introductory paragraph and the recitals contained in Section 1 of this <br />Amendment are incorporated in and made a part of this Amendment. <br />11. Waiver and Severability. No failure or delay by either party in exercising any right, <br />power, or privilege under this Amendment shall operate as a waiver thereof, nor shall any single or partial <br />exercise thereof preclude any other or further exercise thereof or the exercise of any right, power, or <br />privilege under this Amendment. The invalidity or unenforceability of any provision of this Amendment <br />shall not affect the validity or enforceability of any other provision of this Amendment, all of which shall <br />remain in full force and effect. <br />12.Counterparts. This Amendment may be executed in two (2) or more counterparts. A <br />signature to this Amendment delivered via email or other electronic means shall be binding on the signer <br />as an original. <br />13.Ratification; Effect of Amendment. Except as specifically set forth in this Amendment, <br />the provisions of the Lease are hereby ratified and shall remain unchanged and in full force and effect.
