83-205463 <br />3. REPRESEI,.Lz-1�IONS AND WARRANTIES OF ...._.FRS. In addition <br />to the representations and warranties contained below, Owners do <br />hereby make the following representations and warranties with respect <br />to Parcel A: <br />(a) Owners are the sole owners of and City shall acquire <br />hereunder the entire right, title and interest to <br />Parcel A. <br />(b) Parcel A is free and clear of all liens, encumbrances, <br />claims, rights, demands and easements, leases, <br />agreements, covenants, conditions and restrictions of <br />any kind or character except for those exceptions to <br />title permitted to be shown on the title policy as <br />provided herein. If at the time of execution of this <br />agreement Parcel A is not free and clear of the <br />encumbrances described above, Owners shall endeavor to <br />obtain reconveyances of whatsoever nature to insure <br />that title will be free and clear at the time of close <br />of escrow. <br />4. ESCROW. Owners shall open an escrow with Western Title <br />Insurance Company at 21021 Corsair Boulevard, Hayward, California, <br />within thirty (30) days of the execution of this agreement. The City <br />shall deposit into escrow a Quitclaim Deed to Parcel B as well as an <br />executed copy of this agreement. Owners shall deposit into escrow a <br />fully executed and acknowledged copy of this agreement and the Grant <br />Deed fully executed and acknowledged for Parcel A, including all <br />necessary reconveyances. In addition, Owners shall deposit into <br />escrow such evidence as may be required by the City demonstrating <br />compliance with the terms and conditions of the exchange as set forth <br />below. <br />-2- <br />
