crossing agreement(s) with the Company for those portions of the <br />public right-of-way within the Company's operating railroad <br />right-of-way; and obtain the consent of the Company and the California <br />Public Utilities Commission (CPUC) to construct a new at -grade <br />crossing at Alvarado Street. <br />C. In compensation for acquisition of Company property for <br />right-of-way purposes and in consideration for performance of the <br />promises and covenants here contained, City intends to abandon certain <br />public rights -of -way no longer necessary for public use; abandon an <br />at -grade crossing of the Company's main railroad line at Thornton <br />Street; abandon an at -grade crossing at West Estudillo Avenue and <br />relieve the Company from certain special assessments duly levied on <br />Company's non -operating right-of-way property under the proceedings <br />for the Davis/Alvarado Street Assessment District AD #93-1. <br />NOW, TUEREFORE, in consideration of the mutual promises of <br />the parties hereto, City and Company agrees as follows: <br />1. City shall conduct proceedings pursuant to Title V Chapter 4 <br />of the San Leandro Municipal Code to abandon for public right-of-way <br />purposes Parcels 5, 6, 7 and 8 as shown on Exhibit A, "City-SPRR <br />Right -of -Way Exchange" which is attached hereto, and incorporated <br />herein by this reference. Parcels 5, 6, 7 and 8 consist of portions <br />of West Estudillo Avenue, portions of the former alignment of Alvarado <br />Street, portions of West Juana Avenue and portions of Thornton Street, <br />respectively.
