Southern Pacific Transportation Company, <br />Board of Directors, <br />November 20, 1969. <br />On Notion duly made and seconded, it was unanimously <br />RESOLVED, That the President, any Vice President, the General Counsel, and <br />the General. Tex Cormissioner of this Company are each hereby authorized, as officers <br />of this Company, to sign on behalf of this Company and with respect to its real property <br />located. in any state, petitions for, or protests against; the incorporation, creation, <br />organizaticn, reorganization, change of boundaries or termination of any city, county, <br />or other governmental district of any nature, or the inclusion of any of its real <br />property within the limits of any proposed or existing city, county or governmental <br />district of any nature; and that each of the foregoing officers of this Company is <br />hereby authorized to convey an interest in reel property for purposes of being a <br />"qualified signer" of a_ny of the foregoing petitions or protests, within the meaning of <br />sections 34301 and 34311 of the California Government Code or for purposes of complying <br />with any other statute of any state relating to the signing of such petitions or <br />protests. <br />A TRUE COPY <br />Attest: <br />i <br />Assistant Secretary <br />
