<br />Amendment No. 2 to Non-Professional Services Agreement July 1, 2022 <br />between City of San Leandro and GoGo Technologies, Inc. Page 1 of 4 <br />AMENDMENT NO. 2 TO AGREEMENT BETWEEN <br />THE CITY OF SAN LEANDRO AND <br />GOGO TECHNOLOGIES, INC. <br />FOR <br />PARATRANSIT SERVICES: FLEX RIDES On Demand Service <br /> <br /> <br />This Amendment No. 2 (“Amendment No. 2”) is made by and between the City <br />of San Leandro (“City”) and GoGo Technologies, Inc. (“Contractor”) (together <br />sometimes referred to as the “Parties”) as of July 1, 2022, and amends that certain <br />Agreement (“Agreement”) dated July 1, 2020, between the Parties. <br /> <br />WHEREAS, the Parties desire to amend the Agreement in various ways to <br />provide the community additional opportunities to utilize Contractor’s services ; and <br /> <br />WHEREAS, the Parties desire to amend the Agreement to extend the term of the <br />Agreement to July 1, 2022 through June 30, 2023; and <br /> <br />WHEREAS, the Parties desire to discontinue the COVID Vaccination <br />Transportation subsidy after June 30, 2022. <br /> <br />NOW THEREFORE, in consideration of the mutual promises contained in the <br />Agreement, and in accordance with Section 8.3 of the Agreement, the Parties amend <br />the Agreement as follows: <br /> <br />1. Each Recital set forth above is incorporated herein by reference and is <br />made part of this Agreement. Section 1.1, and Exhibit A, are hereby amended in their <br />entirety to read as follows: <br /> <br /> 2. Section 1.1 Term of Services is hereby amended as follows: <br /> “1.1 Term of Services. The term of this Agreement shall be extended to re- <br />commence on July 1, 2022 (the “Effective Date”) and shall end on June 30, 2023, the <br />date of completion specified in Exhibit A, and Contractor shall complete the work <br />described in Exhibit A on or before that date, unless the term of the Agreement is <br />otherwise terminated or extended, as provided for in Section 8. The time provided to <br />Contractor to complete the services required by this Agreement shall not affect the City’s <br />right to terminate the Agreement, as referenced in Section 8.” <br /> <br /> 3. The COVID Vaccination Transportation subsidy shall be eliminated , so <br />that Exhibit A as related to subsidy programs shall be amended to read as follows: <br /> <br />A.
