<br />C-1 <br /> <br />EXHIBIT C <br /> <br />Form of Memorandum of Lease <br /> <br /> <br />RECORDING REQUESTED BY AND WHEN <br />RECORDED RETURN TO: <br /> <br />WHEN RECORDED RETURN TO: <br /> <br />____________________ <br />____________________ <br />____________________ <br />____________________ <br />Attention: ___________ <br />_____________________________________________________________________________ <br /> (SPACE ABOVE THIS LINE FOR RECORDER'S USE) <br /> <br /> <br />MEMORANDUM OF GROUND LEASE <br /> <br /> <br /> THIS MEMORANDUM OF GROUND LEASE (the "Memorandum") is entered into as <br />of __________________, 202__, by and between the City of San Leandro, a California <br />municipal corporation (the "Lessor"), and Housing Consortium of the East Bay, a California <br />nonprofit public benefit corporation (the "Lessee"), with respect to that certain Ground Lease <br />dated _____________, 202__ (the "Ground Lease"), between the Lessor and the Lessee. All <br />capitalized terms used in this Memorandum and not defined shall have the meaning set forth in <br />the Ground Lease. <br /> <br />1. Pursuant to the Ground Lease, Lessor leases to Lessee and Lessee leases from Lessor that <br />certain real property, more particularly described in Exhibit A, attached hereto and incorporated <br />herein (the "Leased Premises"). The Ground Lease shall commence on _______________, <br />202__, and shall remain in effect for the five (5) year Initial Term of the Ground Lease, together <br />with any One Year Extension Terms as provided thereunder, unless sooner terminated pursuant <br />to the terms and conditions of the Ground Lease. <br /> <br />2. As more particularly set forth in the Ground Lease, certain development and use <br />restrictions apply to the Leased Premises. <br /> <br />3. This Memorandum shall incorporate herein all of the terms and provisions of the Ground <br />Lease as though fully set forth herein. <br /> <br />4. This Memorandum is solely for recording purposes and shall not be construed to alter, <br />modify, amend or supplement the Ground Lease, of which this is a memorandum.
