MEMORANDUM OF UNDERSTANDING AND AGREEMENT <br /> <br /> <br /> This Memorandum of Understanding and Agreement ("Agreement") is entered into by <br />and between the City of San Leandro (“City”) and Mercy Retirement and Care Center (“MRCC” <br />or the "Service Provider") to deliver and provide meal services to the City’s low-income seniors <br />via the Mercy Brown Bag Program Mobile Pantry at the San Leandro Senior Community Center <br />(SCC) located at 13909 E 14th Street, San Leandro, CA, 94578 and at the San Leandro Marina <br />Community Center (MCC) located at 15301 Wicks Boulevard, San Leandro, CA, 94579, <br />effective November 1, 2023 (“Effective Date”). <br /> <br />WHEREAS, the City desires to enhance the quality of life for its senior citizen community <br />by and through the SCC and MCC programs, services, and events; and <br /> <br />WHEREAS, low-income seniors struggle with limited resources each month; and <br /> <br /> WHEREAS, Mercy Retirement and Care Center sponsors the Mercy Brown Bag Program <br />(MBBP), a food distribution program for low-income seniors; and <br /> <br /> WHEREAS, MRCC and the City desire to collaborate on the distribution of nutritional groceries, <br />via the MBBP Mobile Pantry, to low-income seniors to support their quality of life; and <br /> <br /> WHEREAS, it is in the public interest for MRCC to enter into this Agreement to benefit low- <br />income seniors in the Alameda County area; <br /> <br /> NOW, THEREFORE, in consideration of the community benefits to be derived from a <br />collaborative approach to assisting low-income seniors, the parties hereto agree as follows: <br /> <br /> Section 1. Scope Of Services. The City and MRCC agree that MRCC will provide the Services <br />set forth in Exhibit A (the “Services”). The City will coordinate the social and programmatic services, <br />along with the community rooms, where the MRCC will perform its Services. These Services are further <br />itemized in Exhibit A. <br /> <br /> Section 2. Term. The term of this Agreement shall be one year from the Effective Date and shall <br />automatically renew on an annual basis except as follows: (a) either party may terminate this Agreement <br />for any reason by providing thirty (30) days written notice to the other party; or (b) if either party defaults <br />under this Agreement, the other party may terminate this Agreement immediately by providing written <br />notice of such termination. <br /> <br /> Section 3. Manner of Services and Use of Community Rooms. Prior to leaving the SCC and the <br />MCC for the day, MRCC shall ensure that the community room(s) and other areas of the SCC, MCC, or <br />other City property used by MRCC are left vacant and returned to the same condition that existed at the <br />commencement of Service Provider’s activity for such day. Resident and client participation in all <br />Services is voluntary. The City and MRCC agree that the Services shall be free of charge to residents and <br />clients, unless otherwise agreed to in advance and in writing. In performing the Services, Service <br />Provider, shall comply with all applicable laws, ordinances, codes, rules, regulations, licensing, permit or <br />certification requirements. <br /> <br /> Section 4.
