Page 2 of 7 MRCC deliveries, by acknowledging receipt of goods with a signed Proof of Delivery returned to the MRCC program representative/driver. The City further commits to use Link 2 Feed, provided free of charge by MRCC, to document distribution of all groceries to individual recipients. New participants must be pre-qualified by age, income and location in Alameda County and registered in Link2Feed prior to receiving groceries. Because MRCC is funded in part with taxpayer dollars, it is imperative that MRCC and the City maintain accurate and timely accounting of these transactions. The City further agrees to have a trained Link2Feed coordinator staffed at every site where MRCC delivers. If there is turnover of Link2Feed recording personnel at the SCC and the MCC for any reason, it will be a site priority, with no loss of documentation of recipients, to provide training during turnover to the new staff person assigned, or contact MRCC and request new training. Section 5. Non-Compliance: Non-participation in Link2Feed, missing documentation of recipients, or failure to sign off on the MRCC’s Proof of Delivery document indicating receipt of food distributions, can be cause for discontinued service to the City until the City can once again provide trained personnel to record all food recipients and sign off on Proof of Delivery. NOTE: While MRCC may discontinue distribution of groceries to a non-compliant partner site, the recipients themselves remain eligible to receive groceries through the MRCC system, and may elect instead to receive groceries through an alternative distribution site, including the CommonSpirit grocery store, located at 3431 Foothill Blvd in Oakland, CA. MRCC shall maintain records and documents related to the Services and the City shall have the right to examine and copy such records and documents. Section 6. Compensation. No compensation for Services is owed by the City under this Agreement. MRCC is performing this Service to further its mission, free of charge to the City. Under no circumstances shall the city residents or MBBP recipients be solicited for contributions or required to make any payments in money, materials, for the receipt of Services and USDA food for any purpose. MRCC shall do its best to ensure freshness and quality of food distributed to local seniors through MBBP. MRCC shall deliver food items in bulk to the San Leandro Senior Community Center (SCC) at their location on the 2nd AND 4th MONDAYS OF EACH MONTH and MRCC shall deliver ongoing food items in bulk via its Mobile Pantry to the San Leandro Marina Community Center (MCC) at their location on the 2nd and 4th TUESDAYS of the MONTH. Section 7. Independent Provision of Services. MRCC shall be solely responsible for the professional performance of the Services. Nothing in this Agreement shall be construed in a manner to create any relationship between MRCC and the City or MRCC or the City and City officials, officers, employees, agents, consultants, subcontractors or volunteers. The City and MRCC shall not be considered employer/employee, partners or joint venturers for any purpose on account of this Agreement. Section 8. Meeting and Evaluation. The City will meet with MRCC as necessary and as mutually available within thirty (30) days upon the request of either party, to ensure the success of the Services. The City will work with MRCC to periodically (at least annually) evaluate the success of the Services, including surveying recipients, as needed. Occasionally, MRCC may also request impact quotes or stories of needs fulfilled from recipients for outbound communications to donors and new recipients. Section 9. Indemnification. Indemnification by MRCC.
