This Agreement and all attached Exhibits, including the scope of work <br />attached hereto, and incorporated herein as Exhibits A, B, C, and D represent the entire and <br />integrated agreement between City and Consultant and supersedes all prior negotiations, <br />representations, or agreements, either written or oral. In the event of conflict between this <br />Agreement and the Exhibits, the Agreement shall take precedence. <br /> <br />Exhibit A Scope of Services <br />Exhibit B Compensation Schedule & Reimbursable Expenses <br />Exhibit C Indemnification <br />Exhibit D COVID-19 Compliance Requirements <br />Exhibit E Consultant’s Master Services and Purchasing Agreement <br /> <br />10.13 Counterparts. This Agreement may be executed in multiple counterparts, each of which <br />shall be an original and all of which together shall constitute one agreement. <br /> <br />10.14 Certification per Iran Contracting Act of 2010.
