<br />Amendment No. 1 to <br />Consulting Services Agreement between City of San Leandro and HCEB 1/30/2024 <br />for Cooling/Warming Center Page 1 of 5 <br />AMENDMENT NO. 1 TO CONSULTING SERVICES AGREEMENT BETWEEN <br />THE CITY OF SAN LEANDRO AND <br />HOUSING CONSORTIUM OF THE EAST BAY (HCEB) <br />FOR <br />COOLING CENTER <br /> <br /> <br />This Amendment No.1 (“Amendment”) is made by and between the City of San Leandro (“City”) <br />and HCEB (“Consultant”) (together sometimes referred to as the “Parties”) as of December 1, 2023, and <br />amends that certain Consulting Services Agreement (“Agreement”) dated September 1, 2023, between the <br />Parties. <br /> <br />WHEREAS, City and Consultant have executed the Agreement, pursuant to which Consultant has <br />provided certain consulting services to City with regard to operating the cooling center, and <br /> <br />WHEREAS, the Parties desire to amend the Agreement to also operate the warming shelter. <br /> <br />NOW THEREFORE, for good and valuable consideration, the sufficiency of which is hereby <br />acknowledged, the Parties hereby agree to amend the Agreement as follows: <br /> <br /> <br />1. Section 2 of the Agreement entitled “Compensation” is hereby amended to pay Consultant a <br />sum not to exceed Two Hundred Ninety Nine Thousand Dollars ($299,000.00); and <br /> <br />2. Exhibit A of the Agreement entitled “Scope of Services” is hereby amended to read: <br /> <br />I I. Definitions <br />Summer Cooling Services: provides individuals experiencing homelessness with indoor shelter on high heat or <br />poor air quality days (forecast at 90 degrees Fahrenheit or higher or 201+ Air Quality Index) during the months <br />in which high temperatures are anticipated. In addition, the Summer Cooling Center provides two meals per <br />day, shower service, and access to support including referrals to resources, and housing navigation. <br /> <br />Winter Warming Services: provides individuals experiencing homelessness with indoor shelter on days where <br />the weather is forecast to be 42 degrees or below and/or 48% chance or greater of rain during the months in <br />which inclement weather is anticipated. In addition, the Warming Center provides two meals per day, motel <br />vouchers and access to support including referrals to resources, and housing navigation. <br /> <br />Homeless Individuals: an individual with a primary nighttime residence that is a public or private place not <br />designed for or ordinarily used as a regular sleeping accommodation for human beings, such as in a car, park, <br />tent, or abandoned building, or on a bus or train. <br /> <br />I II. Services to be Provided <br /> <br />PROVIDER shall implement the Summer Cooling/Winter Warming Center program serving homeless <br />individuals.
