EXHIBIT A <br />DEFINITIONS <br />July 15, 2024 Page A-4 Post-Collection Agreement, Exhibit A <br />“Back-Haul” means generating and Transporting Discarded Materials or C&D Debris to a destination <br />owned and operated by the Generator using the Generator’s own employees and equipment, or as <br />otherwise defined in 14 CCR Section 18982(a)(66)(A). <br />"Beneficial Reuse" means use of material for beneficial reuse which shall include, but not be limited to, <br />the following: ADC, AIC, final cover foundation layer, liner operations layer, leachate and landfill gas <br />collection system, construction fill, road base, wet weather operations pads and access roads, and soil <br />amendments for erosion control and landscaping. <br />“Business Days” means days during which the City offices are open to do business with the public. <br />“CALGreen” means the California Green Building Standards Code, Part 11, Title 24, of the CCR as it may <br />be amended from time to time. <br />“California Code of Regulations” or “CCR” means the State of California Code of Regulations. CCR <br />references in this Agreement are preceded with a number that refers to the relevant Title of the CCR (e.g., <br />“14 CCR” refers to Title 14 of CCR). <br />“Cardboard” means corrugated fiberboard consisting of a fluted corrugated sheet and one (1) or two (2) <br />flat linerboards, as is often used in the manufacture of shipping containers and corrugated boxes. <br />Cardboard is a subset of Recyclable Materials. <br />“Change in Law” means any of the following events or conditions that has a material and adverse effect <br />on the performance by either Party or any Subcontractor of its respective obligations under this <br />Agreement (except for payment obligations) or on the activities of any Approved or Designated Facility in <br />connection with this Agreement: <br />A. The enactment, adoption, promulgation, issuance, modification, or written change in administrative <br />or judicial interpretation of any Applicable Law on or after the Effective Date; or, <br />B. The order or judgment of any Federal, State, or local governmental body, on or after the Effective <br />Date, to the extent such order or judgment is not the result of willful or negligent action, error, or <br />omission, or lack of reasonable diligence of City or of Contractor (or Subcontractor), whichever is <br />asserting the occurrence of a Change in Law; provided, however, that the contesting in good faith <br />or the failure in good faith to contest any such order or judgment shall not constitute or be <br />construed as such a willful or negligent action, error or omission or lack of reasonable diligence. <br />C. With respect to changes in compensation, Change in Law is limited by the specific provisions of <br />Section 8.4.E. <br />“City” means the City of San Leandro, a municipal corporation, and all the territory lying within its <br />boundaries as presently existing or as such boundaries may be modified during the Term of this <br />Agreement. <br />Docusign Envelope ID: C78C62DE-8589-496F-8F5A-DEC38EE5853C
