EXHIBIT A <br />DEFINITIONS <br />July 15, 2024 Page A-15 Post-Collection Agreement, Exhibit A <br />“Source Reduction” means and refers to the reduction in overall volume of City Delivered Materials <br />generated. Methods of Source Reduction include, but are not limited to, shifting to reusable or refillable <br />packaging or a reusable product or eliminating unnecessary packaging. <br />“Source Separated” means the segregation, by the Generator, of materials by material type designated <br />for separate Collection for some form of Recycling, Composting, recovery, or reuse. For Commercial <br />Customers only, Source Separated Organic Materials refers to the Collection of only Food Scraps or only <br />Yard Waste and does not include the Collection of a comingled stream of Food Scraps and Yard Waste. <br />“State” means the State of California. <br />“Stewardship Organization” means a Person(s) that is approved or designated under Applicable Law or <br />by a relevant governing body, including, but not limited to, CalRecycle, CARB, or the County to manage, <br />coordinate, fund, or otherwise oversee one or more Extended Producer Responsibility Programs. The <br />applicable Stewardship Organization for each Extended Producer Responsibility Program under this <br />Agreement shall be designated pursuant to Applicable Law. <br />“Subcontractor” means a Person who has entered into a contract, express or implied, with Contractor for <br />the performance of an act that is necessary for Contractor’s fulfillment of its obligations for providing <br />service under this Agreement. Notwithstanding any other provision in this Agreement, Vendors providing <br />materials, supplies, or professional services to Contractor shall not be considered Subcontractors for any <br />purpose under this Agreement (except as explicitly provided in Section 3.3 of this Agreement). <br />“Term” means the Term of this Agreement, including extension periods if granted, as provided for in <br />Article 2. <br />“Textiles” means a type of cloth or woven fabric that may be discarded by Single-Family, Multi-Plex, and <br />Multi-Family Generators. Textiles include, but are not limited to, clothing including shoes, sheets and <br />blankets, pillowcases, and curtains and drapes. <br />“Third-Party C&D Accreditor” means a City approved private, non-profit, or government entity that <br />reviews, assesses, verifies, and accredits a C&D Processing Facility(ies) on its ability to ensure effective <br />diversion of C&D from landfills, by providing a certification after assessment, and requiring regular re- <br />certification. <br />“Ton” or “Tonnage” means a unit of measure for weight equivalent to two thousand (2,000) standard <br />pounds per each ton where each pound contains sixteen (16) ounces. <br />“Transfer” means the act of transferring City Delivered Materials from the Collection Contractor’s Route <br />vehicles into larger vehicles for Transport to Approved Facilities for the purpose of Recycling, Processing, <br />or Disposing of such materials. <br />“Transport” or “Transportation” (or any variation of) means the act of conveying City Delivered Materials <br />from one location to another. <br />Docusign Envelope ID: C78C62DE-8589-496F-8F5A-DEC38EE5853C
