Amendment No. 3 to <br />Consulting Services Agreement between City of San Leandro and Terraphase Engineering, Inc 9/13/2024 <br />for Treatment Wetland Design Services Page 1 of 8 <br />AMENDMENT NO. 3 TO CONSULTING SERVICES AGREEMENT BETWEEN THE CITY OF SAN LEANDRO AND <br />TERRAPHASE ENGINEERING, INC. <br />FOR <br />ENVIRONMENTAL DESIGN SERVICES FOR A TREATMENT WETLAND AT THE CITY OF SAN <br />LEANDRO WATER POLLUTION CONTROL PLANT <br />This Amendment No.3 (“Amendment”) is made by and between the City of San Leandro (“City”) <br />and Terraphase Engineering, Inc. (“Consultant”) (together sometimes referred to as the “Parties”) as of <br />September 13, 2024, and amends that certain Consulting Services Agreement (“Agreement”) dated <br />October 15, 2019, between the Parties. <br />WHEREAS, City and Consultant have executed the Agreement, pursuant to which Consultant has <br />provided certain consulting services to City with regard to environmental design services for a treatment <br />wetland at the City of San Leandro Water Pollution Control Plant, and <br />WHEREAS, the Parties desire to amend the Agreement to add additional scope and increase <br />compensation by $266,624 to a not to exceed amount of $1,177,863. <br />NOW THEREFORE, for good and valuable consideration, the sufficiency of which is hereby <br />acknowledged, the Parties hereby agree to amend the Agreement as follows: <br />1.Section 1.1 of the Agreement entitled “Term of Services” is hereby amended to extend the <br />term from June 30, 2024, to June 30, 2025; and <br />2.Section 2 of the Agreement entitled “Compensation” is hereby amended to pay Consultant a <br />sum not to exceed $1,177,863; and <br />3.Exhibit A of the Agreement entitled “Scope of Services” is hereby amended to read: <br />Task 1: Sludge-Soil-Cement Stabilization Pilot Test <br />Terraphase has continued to work with the City to develop and plan a pilot test for sludge-soil-cement <br />stabilization of the former polishing pond at the City WPCP. The objective of stabilizing the former polishing <br />pond is to strengthen the surface of the pond to a minimum unconfined compressive strength of at least <br />1,000 pounds per square foot (psf), within an operationally acceptable curing time, to support fill placement <br />and construction of the planned treatment wetland. <br />Terraphase previously prepared and submitted a Pilot Test Work Plan (Work Plan) and developed and <br />issued a Request for Proposal (RFP) for implementation of the pilot test.
