1 <br /> <br /> <br />MEMORANDUM OF UNDERSTANDING BETWEEN THE CITY OF SAN LEANDRO <br />BY AND THROUGH THE SAN LEANDRO MAIN LIBRARY AND THE SAN <br />LEANDRO PLAYERS, AN ENSEMBLE THEATER GROUP <br /> <br />THIS MEMORANDUM OF UNDERSTANDING (“Agreement”) is made and entered <br />into this 10th day of January, 2025 by and between the CITY SAN LEANDRO (“City”) by and <br />through the San Leandro Main Library, and the SAN LEANDRO PLAYERS, AN ENSEMBLE <br />THEATER GROUP (“Organization”), a California non-profit corporation exempt from taxation <br />pursuant to Internal Revenue Code section 501(c)(3). City and Organization are herein referred to <br />individually as "Party" and collectively as "Parties." <br /> <br /> <br />RECITALS <br /> <br /> A. The Organization is a California non-profit corporation exempt from taxation <br />pursuant to Internal Revenue Code section 501(c)(3) and was formed in 1999 and has been <br />performing in the City of San Leandro for 25 years. The Organization’s mission is to bring <br />quality community theatre to the San Leandro area and to foster participation in the arts by San <br />Leandro citizens. <br />B. Consistent with its stated mission, the Organization desires to put on performances <br />in the San Leandro History Museum Auditorium in order to encourage community enjoyment and <br />to create and experience the thrill of theater, providing opportunities with acting, back stage, <br />design, and administrative capacities in San Leandro. <br /> <br /> C. The City and the Organization agree that providing facilities for the Organization <br />to use at the museum will provide a valuable resource to the community. <br /> <br /> D. To facilitate this effort, the City agrees to coordinate with the Organization to <br />facilitate their use of various facilities, including the auditorium, in order to fulfill its stated mission <br />on the terms and conditions set forth herein. <br /> <br />NOW, THEREFORE, in consideration of the terms and conditions contained herein, the <br />City and the Organization agree as follows: <br /> <br /> <br />ARTICLE I. CITY RESPONSIBILITIES <br /> <br />1.1 Equipment. City agrees to provide Organization a set of keys to access the Museum <br />Auditorium, the Control Room, Staff Breakroom, various internal storage closets in the <br />auditorium, and the restrooms (the “Facilities”), as well as certain equipment including the stage <br />lighting, sound system, and audience seating, for Organization’s events and performances <br />(“Equipment”) upon execution of this Agreement. <br /> <br />Docusign Envelope ID: AD521F3D-2524-4D98-BA72-9AB2BF28B865
