<br />Non-Professional Services Agreement between Last Edited 1/1/2025 <br />City of San Leandro and PCFMA Exhibit A Page 4 of 4 <br />4. Communication and Reporting <br /> <br />4.1 Contact Persons <br />PCFMA and City will each appoint one individual to act as the principal contact person (“Primary Contact”) <br />and to coordinate activities in connection with the Market. PCFMA and City may each change its Primary <br />Contact at any time by written notice to the other party. <br /> <br />4.2 Concerns and Complaints <br />For efficiency and clarity, if City has questions or concerns about Market operations, including any <br />concerns about individual Market Participants or recurring complaints from consumer about the Market, or if <br />PCFMA has concerns about City’s marketing activities or other matters, each will direct such questions and <br />concerns initially only to the other’s Primary Contact. If City’s concerns relate to real-time health or safety <br />issues on a Market Day, City should contact the Market Manager. <br />4.3 Cooperation <br />PCFMA and City will cooperate with each other in connection with the Market, including: (a) carrying out <br />their respective obligations on a timely basis; (b) keeping each other advised about potential issues; (c) <br />promptly responding to e-mail, text, and phone messages from the other party; and (d) providing one <br />another with information and documents as may be appropriate in connection with Market activities. <br /> <br />4.4 Market Reporting <br />PCFMA will provide City with periodic reports about Market operations addressing Market attendance and <br />other relevant matters. PCFMA and City may also provide other reports and information as they may agree. <br />4.5 General Reporting <br />PCFMA will notify the City promptly of: (a) any change in the Market Manager for the Market; (b) permanent <br />revocation of PCFMA’s tax-exempt status; (c) any filing by PCFMA of a proceeding under any bankruptcy <br />or insolvency law; (d) any governmental action, legal proceeding, revocat ion of a permit, or other <br />development that has or could have a material adverse effect on PCFMA’s financial condition or otherwise <br />materially affect its ability to carry out its obligations under the Agreement; or (e) any loss, disruption or <br />substantive change in the PCFMA insurance coverages required under this Agreement. <br /> <br /> <br />Docusign Envelope ID: 546935C5-823F-48C1-817F-BB3955389985
