Alameda CTC Agreement No. A25-00XX <br /> 1 <br /> <br />MEMORANDUM OF UNDERSTANDING <br /> BETWEEN THE <br />ALAMEDA COUNTY TRANSPORTATION COMMISSION <br />AND THE <br />CITY OF SAN LEANDRO <br />FOR THE <br /> EAST BAY GREENWAY MULTIMODAL (PHASE 1) PROJECT – AFFORDABLE HOUSING AND <br />SUSTAINABLE COMMUNITIES APPLICATION <br /> <br />This Memorandum of Understanding (“MOU”) is entered into this ____ day of _________, 2025 by and <br />between the ALAMEDA COUNTY TRANSPORTATION COMMISSION, a joint powers agency (“ALAMEDA <br />CTC”), and the CITY OF SAN LEANDRO (“CITY”), a public agency (together with ALAMEDA CTC, the <br />“PARTIES” and each individually a “PARTY”). <br /> <br />RECITALS <br /> <br />WHEREAS, ALAMEDA CTC is both the Project Sponsor and Implementing Agency (as such <br />terms are defined below) responsible for the overall project implementation including project delivery, <br />management, and funding associated with the East Bay Greenway Multimodal (Phase 1) Project, which <br />crosses multiple incorporated cities and unincorporated communities; and <br /> <br />WHEREAS, the East Bay Greenway Multimodal (Phase 1) Project within San Leandro will span <br />approximately 3.5 miles and connect from the northerly San Leandro City Limit to the Bayfair area via <br />San Leandro Boulevard and East 14th Street; and <br /> <br />WHEREAS, the State of California’s Strategic Growth Council (“SGC”) and Department of <br />Housing and Community Development (“HCD”) issued a Notice of Funding Availability dated March 25, <br />2025 (the “AHSC NOFA”), under the Affordable Housing and Sustainable Communities (“AHSC”) <br />Program; and <br /> <br />WHEREAS, the CITY in partnership with Pacific West Communities, Inc. (“Developer”) are <br />applying for AHSC funds in response to the AHSC NOFA to provide funding for: (A) construction of an <br />affordable housing project within San Leandro to be constructed by the Developer (the “Developer <br />Obligations”); and (B) sustainable transportation infrastructure (“STI”) related to the East Bay Greenway <br />Multimodal (Phase 1) Project within San Leandro implemented by ALAMEDA CTC (the “STI <br />Obligations”). These improvements are described in more detail in the final funding application to be <br />submitted by May 28, 2025 (collectively, the “AHSC Application”); and <br /> <br />WHEREAS, the PARTIES have agreed that the CITY and the Developer will submit an AHSC <br />Application, and ALAMEDA CTC will be a non-applicant partner responsible for the completion of the <br />STI Obligations pertaining to the completion of the East Bay Greenway Multimodal (Phase 1) Project <br />within San Leandro; and <br /> <br /> WHEREAS, the PARTIES are required to enter into this agreement in order to comply with the <br />specific AHSC Program Guidelines stated in Section 103(a)(1)(A) and Section 103(f)(3) of the AHSC <br />Program Round 9 Guidelines dated February 26, 2025.
