Alameda CTC Agreement No. A25-00XX <br /> 2 <br />include an executed agreement between the Applicant and non-Applicant that demonstrates components <br />proposed will be completed by the respective implementing agencies as stated within the AHSC <br />Application. <br /> <br />WHEREAS, the PARTIES have agreed that if awarded AHSC funds for STI Obligations pertaining <br />to the East Bay Greenway Multimodal (Phase 1) Project, the CITY will serve as the fund recipient and <br />fiscal agent for the awarded AHSC funds, and will pass through the funds to ALAMEDA CTC for <br />implementation of STI Obligations pertaining to the East Bay Greenway Multimodal (Phase 1) Project; <br />and <br /> <br />WHEREAS, the AHSC Application seeks a funding award request of an aggregate amount of up <br />to $50,000,000 in AHSC funds consisting of: (A) not to exceed $35,000,000 of AHSC funds for the <br />construction of the Housing Project; and (B) not to exceed $15,000,000 of AHSC funds for the East Bay <br />Greenway Multimodal (Phase 1) Project <br /> <br />NOW, THEREFORE, the PARTIES mutually understand and agree to the following: <br /> <br /> <br />SECTION I INTRODUCTION <br /> <br />1.1 All of the foregoing recitals are true, correct and are incorporated herein by this reference. <br /> <br />1.2 This MOU shall be legally binding on the PARTIES, and by executing the same, each PARTY hereby <br />acknowledges that its governing body has given all approvals necessary therefore. <br /> <br />1.3 The term “Project Sponsor” in this MOU shall mean the PARTY responsible for establishing the scope <br />of a project, securing the financial resources to fund the work thereof, determining the schedule, and <br />ensuring project scope, cost, funding, and schedule are accurately reflected in the regional Transportation <br />Improvement Program (TIP). <br /> <br />1.4 The term “Implementing Agency” in this MOU shall mean the PARTY responsible for managing the <br />scope, cost, schedule, and quality of the work activities and products of a project component. <br /> <br />1.5 The term “Applicant” in this MOU shall mean the PARTY responsible for submitting the AHSC <br />Application. <br /> <br />1.6 The term “Non-Applicant” in this MOU shall mean the PARTY responsible for the completion of the <br />STI Obligations proposed in the AHSC Application. <br /> <br /> <br />SECTION II CITY OBLIGATIONS AND AGREEMENTS: <br /> <br />2.1 The CITY shall be the Applicant responsible for submitting the AHSC Application. <br /> <br />2.2 The CITY agrees to serve as the fiscal agent for the AHSC Application, which involves passing <br />through funds received from the AHSC Program to ALAMEDA CTC for the completion of the STI <br />Obligations for the East Bay Greenway Multimodal (Phase 1) Project. <br /> <br />2.3. The CITY shall make a good faith effort to transfer appropriate funds to the ALAMEDA CTC no later <br />than thirty (30) calendar days following receipt of an approved Request for Reimbursement that
