Governor’s Office of Land Use and Climate Innovation– Extreme Heat and Community Resilience Program – Round 1 <br />Grant Number: LCI SPPD24132, City of San Leandro <br />Page 15 <br /> Exhibit C, General Terms and Conditions <br />Agreement by reference and made a part hereof as if set forth in full. Grantee and <br />its subcontractors shall give written notice of their obligations under this clause to <br />labor organizations with which they have a collective bargaining or other Grant <br />Agreement. <br />Grantee shall include the nondiscrimination and compliance provisions of this clause <br />in all subcontracts to perform work under this Grant Agreement. <br />10. Timeliness <br />Time is of the essence in this Grant Agreement. LCI and Grantee will work <br />collaboratively to ensure this Grant Agreement and the Project are administered in <br />a timely fashion. <br />11. Governing Law <br />This Grant Agreement is governed by and shall be interpreted in accordance with <br />the laws of the State of California. <br />12. Unenforceable Provision <br />If any provision of this Grant Agreement is unenforceable or held to be <br />unenforceable, then the Parties agree that all other provisions of this Grant <br />Agreement have force and effect and shall not be affected thereby. <br />13. Revenue <br />All revenue generated as a part of the Project by Grantee, their partners or <br />subcontractors must be used to further the Project to the extent reasonably possible. <br />Grantee must keep records of revenue expenditures for audit purposes. <br /> <br /> <br />
