Amendment No. 3 to Consulting Services Agreement between City of San Leandro and Terraphase Engineering, Inc 9/13/2024 for Treatment Wetland Design Services Page 1 of 8 AMENDMENT NO. 3 TO CONSULTING SERVICES AGREEMENT BETWEEN THE CITY OF SAN LEANDRO AND TERRAPHASE ENGINEERING, INC. FOR ENVIRONMENTAL DESIGN SERVICES FOR A TREATMENT WETLAND AT THE CITY OF SAN LEANDRO WATER POLLUTION CONTROL PLANT This Amendment No.3 (“Amendment”) is made by and between the City of San Leandro (“City”) and Terraphase Engineering, Inc. (“Consultant”) (together sometimes referred to as the “Parties”) as of September 13, 2024, and amends that certain Consulting Services Agreement (“Agreement”) dated October 15, 2019, between the Parties. WHEREAS, City and Consultant have executed the Agreement, pursuant to which Consultant has provided certain consulting services to City with regard to environmental design services for a treatment wetland at the City of San Leandro Water Pollution Control Plant, and WHEREAS, the Parties desire to amend the Agreement to add additional scope and increase compensation by $266,624 to a not to exceed amount of $1,177,863. NOW THEREFORE, for good and valuable consideration, the sufficiency of which is hereby acknowledged, the Parties hereby agree to amend the Agreement as follows: 1. Section 1.1 of the Agreement entitled “Term of Services” is hereby amended to extend the term from June 30, 2024, to June 30, 2025; and 2. Section 2 of the Agreement entitled “Compensation” is hereby amended to pay Consultant a sum not to exceed $1,177,863; and 3. Exhibit A of the Agreement entitled “Scope of Services” is hereby amended to read: Task 1: Sludge-Soil-Cement Stabilization Pilot Test Terraphase has continued to work with the City to develop and plan a pilot test for sludge-soil-cement stabilization of the former polishing pond at the City WPCP. The objective of stabilizing the former polishing pond is to strengthen the surface of the pond to a minimum unconfined compressive strength of at least 1,000 pounds per square foot (psf), within an operationally acceptable curing time, to support fill placement and construction of the planned treatment wetland. Terraphase previously prepared and submitted a Pilot Test Work Plan (Work Plan) and developed and issued a Request for Proposal (RFP) for implementation of the pilot test. This proposal describes the scope of work and requested budget for implementation of the pilot test, with the selected stabilization contractor under contract to and under the oversight of Terraphase.
