<br />Under no circumstances is RH liable for any special, incidental, exemplary, indirect lost profits, or consequential
<br />damages (including, but not limited to, lost business, revenue, goodwill, or anticipated savings), even if informed of the
<br />possibility.
<br />1.6 General Principles of Our Relationship
<br />a. Each party will maintain workers' compensation insurance and commercial liability insurance.
<br />b. RH will be responsible, to the extent applicable, for any workers' compensation insurance, federal, state and local
<br />withholding and unemployment taxes, social security, state disability insurance or other payroll charges for the
<br />Professionals.
<br />c. In the event that any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions of
<br />this Agreement remain in full force and effect.
<br />1.7 Agreement Term
<br />This Agreement will be effective as of the last date of signature and continue for a period of one year thereafter, unless
<br />terminated earlier. Either party may terminate this Agreement without cause on thirty days’ written notice to the other.
<br />Either party may terminate this Agreement for material breach of any of its terms, provided the one who is not
<br />complying is given written notice and ninety (90) days to cure the material breach.
<br />Any terms of this Agreement which by their nature extend beyond the Agreement termination remain in effect until
<br />fulfilled, including the payment obligations set forth in Section 1.3 above, and apply to each party’s respective
<br />successors and assignees.
<br />1.8 Warranties
<br />EXCEPT AS SET FORTH IN EXHIBIT A, RH MAKES NO EXPRESS OR IMPLIED WARRANTIES, INCLUDING, BUT
<br />NOT LIMITED TO, ANY WARRANTY OF QUALITY, PERFORMANCE, MERCHANTABILITY OR FITNESS FOR ANY
<br />PURPOSE WITH RESPECT TO ANY TALENT SOLUTIONS PERFORMED OR ANY GOODS PROVIDED,
<br />INCLUDING, BUT NOT LIMITED TO, FINANCIAL OR ACCOUNTING TALENT SOLUTIONS PERFORMED, OR
<br />SOFTWARE DEVELOPED, FOR YOU.
<br />1.9 Confidentiality
<br />Except as may be otherwise required by state law or order of the court, you agree to hold in confidence the identity of
<br />any candidate and the candidate’s resume, social security number and other legally protected personal information,
<br />and you agree to implement and maintain reasonable security procedures and practices to protect such information
<br />from unauthorized access, use, modification or disclosure.
<br />1.10 Candidate Screening Process
<br />RH checks references only by asking specific questions to select past employers with regard to skills and work history
<br />before placing an individual in a direct hire placement or before placing an individual on their first temporary
<br />assignment.

<br />To the extent permitted by applicable law, RH will have a third party vendor (a) perform a Social Security Number
<br />verification; and (b) perform a seven-year criminal background investigation at the county level for all (i) state felony
<br />convictions and pending charges, and (ii) state misdemeanor convictions and pending charges involving crimes of
<br />dishonesty or violence, in each county where our professional has resided or worked in the U.S. in the last seven years
<br />(based on information revealed by the results of a Social Security Number verification conducted by, and information
<br />provided by our professional directly to, the third party vendor); however, for any county where such criminal
<br />background investigation is impracticable, unavailable or would result in a delay of assignment (as determined by RH in
<br />consultation with the third party vendor), the third party vendor may instead complete a seven-year statewide criminal
<br />background investigation in the state where such county is located, if available, for the same convictions and pending
<br />charges. RH will review the information revealed by these checks and determine our professional's eligibility for jobs in
<br />accordance with applicable law.
<br />
<br />If any of the checks are not possible to complete due to delays and/or unavailability of one or more sources, you
<br />acknowledge that the checks will not be completed for our professional in time for our professional's start date due to
<br />such delays or unavailability of sources. You will permit our professional to start an assignment with you on the start
<br />date while attempting to complete the checks. You will hold RH harmless for any liability for having our professional
<br />start prior to the completion of the checks. If you request a copy of the results of any checks conducted on our
<br />professionals, you agree to keep such results strictly confidential and to use such results in accordance with applicable
<br />laws and solely for employment purposes.
<br />
<br />Part 2 – Permanent Placement Services
<br />
<br />2.1 If within twelve (12) months following the date a direct-hire candidate was presented to you, you (or an affiliate or any
<br />other entity as a result of referrals by you) hire the candidate (either as an employee, consultant or independent
<br />contractor), you agree to pay to RH a fee based upon the candidate’s annual starting salary according to Section 2.3
<br />below. RH reserves the right to include as annual salary any expected bonus, commission or guaranteed increase in
<br />salary that is part of the initial employment offer. Part time employment fees will be calculated on the equivalent full-
<br />time salary multiplied by the percentage of time the employee works.
<br />
<br />2.2 All fees for Permanent Placement Services are due and owing at the time the candidate accepts employment with you.
