Amendment No. 1 to [04/27/2026] Consulting Services Agreement between City of San Leandro and Page 1 of 4 BERRY, DUNN, MCNEIL & PARKER, LLC for POLICE DEPARTMENT TECHNOLOGY NEEDS ASSESSMENT AMENDMENT NO. 1 TO CONSULTING SERVICES AGREEMENT BETWEEN THE CITY OF SAN LEANDRO AND BERRY, DUNN, MCNEIL & PARKER, LLC FOR POLICE DEPARTMENT TECHNOLOGY NEEDS ASSESSMENT This Amendment No. 1(“Amendment”) is made by and between the City of San Leandro (“City”) and BERRY, DUNN, MCNEIL & PARKER, LLC (“Consultant”) (together sometimes referred to as the “Parties”) as of April 24, 2026, and amends that certain Consulting Services Agreement ( “CSA” or “Agreement”) dated June 30, 2025, between the Parties. WHEREAS, City and Consultant have executed the Agreement, pursuant to which Consultant has provided certain consulting services to City with regard to police department technology needs assessment; and WHEREAS, the Parties desire to amend the Agreement to extend the term of the agreement; and . NOW THEREFORE, for good and valuable consideration, the sufficiency of which is hereby acknowledged, the Parties hereby agree to amend the Agreement as follows: 1. Section 1.1 of the Agreement entitled “Term of Services” is hereby amended to extend the term from June 30, 2026 to June 30, 2027; and 2. Section 2 of the Agreement entitled “Compensation” is hereby amended to pay Consultant a sum not to exceed $122,500 and 3. Exhibit A of the Agreement entitled “Scope of Services” is hereby amended as follows: Business Process Analysis, Mapping, and Gap Solution PHASE 1: Conduct Stakeholder Sessions During Phase 1, BerryDunn will work with all stakeholders to develop a detailed project work plan, schedule, and other supporting documents to begin the project. Task Description Project Planning: BerryDunn will conduct an initial project planning teleconference with the City’s project team to introduce key team members, clarify goals and objectives, identify known project constraints, and refine dates and/or tasks, as appropriate. We will discuss our approach for managing communications, scope, risks, and resources. 1.1 Finalize Functional Areas: BerryDunn will conduct a virtual meeting with SLPD leadership team to finalize the seven functional areas that will be analyzed for this process. 1.2 Identify Session Participants: BerryDunn will collaborate with SLPD to identify the key functional area experts and stakeholders.
