Borrower owns all that real property located in the City of San Leandro, <br />California, more particularly described in Exhibit "c" (the "Property"); <br />B. The City, Agency and Borrower have entered into the following documents <br />(collectively referred to as the "City and Agency Loan Documents"): <br />(i) Owner Participation and Loan Agreement among the City, <br />Agency and Borrower, dated as of September 10, 2007, a Memorandum <br />of which was recorded September 18, 2007 as Instrument No. 2007- <br />334383; <br />(ii) Affordable Housing Regulatory Agreement and Declaration of <br />Restrictive Covenants among the City, Agency and Borrower, dated as of <br />September 10, 2007, and recorded on September 18, 2007, as Instrument <br />No. 2007-334384 ("City and Agency Regulatory Agreement"); <br />(iii) Deed of Trust by Borrower for the benefit of the Agency dated <br />as of September 10, 2007 and recorded on September 18, 2007, as <br />Instrument No. 2007-334385 ("Agency Deed of Trust") securing a <br />`~- Promissory Note in favor of the Agency dated as of September 10, 2007 in <br />the original principal amount of $1,978,000 ("Agency Note"); and <br />(iv) Deed of Trust by Borrower for the benefit of the City dated as <br />of September 10, 2007, and recorded on September 18, 2007, as <br />~ Instrument No. 2007-334387 ("City Deed of Trust") securing a <br />1194386-5 1 <br />
