FIRST AMENDMENT OF GROUND LEASE BETWEEN THE CITY OF SAN <br /> LEANDRO AND THE BOYS & GIRLS CLUB OF SAN LEANDRO <br /> This First Amendment of the Ground Lease dated March 18, 1991 between the City of San <br /> Leandro (Lessor), a charter city formed under the laws of the State of California, and the Boys & <br /> Girls Club of San Leandro (Lessee), a non-profit corporation, is made and entered into this 22nd <br /> day of July,2014. <br /> RECITALS <br /> WHEREAS, the Parties have been engaged in a Ground Lease at the current location of <br /> the Boys & Girls Club of San Leandro since 1971; and <br /> WHEREAS, the Parties entered into a new Ground Lease dated March 18, 1991, for a <br /> term of twenty-five years,with an option to renew the lease for an additional term of ten (10) <br /> years; and <br /> WHEREAS,in 2003, the City entered into a separate lease with the Boys & Girls Club <br /> for use of the swimming pool and locker rooms improvements; and <br /> WHEREAS, the 2003 separate lease agreement relating to the use of the swimming pool <br /> and locker rooms was amended to clarify the responsibilities of each Party to that Lease as to <br /> Building Maintenance; and <br /> WHEREAS, the Parties desire to amend the 1991 Ground Lease that is currently in <br /> effect and scheduled to expire March 18, 2016 to change the term to 30 years,without the <br /> option to renew the lease term for an additional ten year term; and <br /> WHEREAS, the City Council of the City of San Leandro approved this amendment to <br /> the term of the March 18, 1991 Ground Lease at its July 21, 2014 regular meeting. <br /> NOW THEREFORE, FOR GOOD AND VALUABLE CONSIDERATION, THE RECEIPT <br /> AND SUFFICIENCY OF WHICH IS HEREBY ACKNOWLEDGE, the Parties agree as <br /> follows: <br /> I. Section 2,"1'LRM;OPTION;CANCELLATION," of the March 18, 1991 Ground Lease <br /> is hereby amended in its entirety to read as follows: <br /> 2. TERM <br /> The term of this Ground Lease shall be thirty(30) years. commencing upon July 22,2014. <br /> II. Except as expressly amended above, all covenants, terms and provisions of the Lease <br /> remain in full force and effect. <br /> 1 <br />
