operations. <br />b. The Contractors insurance coverage shall be primary insurance as respects the <br />City, its officers, officials, employees, agents and volunteers. Any insurance or <br />self-insurance maintained by the City, its officers, officials, employees, agents or <br />volunteers shall be excess of the Contractor's insurance and shall not contribute <br />with it <br />c. Each insurance policy required by this clause shall be occurrence-based, or an <br />alternate form as approved by the City and shall be endorsed to state that <br />coverage shall not be canceled by the Insurer except after thirty (30) days prior <br />written notice has been given to the City. <br />The Contractor's insurance shall apply separately to each insured against whom <br />claim is made or suit is brought, except with respect to the limits of the insurer's <br />liability. <br />The Automobile Liability policy shall be endorsed to delete the Pollution and/or the <br />Asbestos exclusion and add the Matar Carrier Act endorsement (MC5-90), TL 1005, TL <br />1007 and/or other endorsements required by federal or State authorities. <br />iii. Worker's Compensation and Employers Liability Coverage. The insurer shall agree to <br />waive all rights of subrogation against the City, its officers, officials, employees and <br />volunteers for losses arising from work performed by the Grantee for the City. <br />iv. All Coverages. Each insurance policy required by this clause shall be occurrence-based <br />or an alternate form as approved by the City and endorsed to state that coverage shall not <br />be suspended, voided, canceled by either party, reduced in coverage or in limits except <br />after thirty (30) days' prior written notice by certified mail, return receipt requested, has <br />been given to the City. <br />E. Acce tabili of Insurers. Insurance is to be placed with insurers with a current A.M. Best's <br />rating of no less than A:VII if admitted. If pollution and/or Environmental Impairment and/or errors and <br />omissions coverages are not available from an "Admitted" insurer, the coverage may be written, with the <br />City's permission, by anon-admitted insurance company. Anon-admitted company should have an A.M. <br />Bests rating of A:X or higher. <br />F. Verification of Coverage. As provided in Article 10.3D, the Contractor shall furnish the City with <br />endorsements effecting coverage required by this clause. The endorsements are to be signed by a person <br />authorized by that Insurer to bind coverage on its behalf. The endorsements are to be on forms provided <br />by the City, unless the insurer will not use the City's form. All endorsements are to be received and <br />approved by the City before work commences. As an alternative to the City's forms, the Contractor's <br />insurer may provide complete copies of all required insurance policies, including endorsements effecting <br />J:\wpd\sfat3lakm\franchisencw2.wpd 02/01/00 Page 42 of 59 <br />
